PARTIES & RECITALS
This Commercial Lease Agreement ("Lease") is entered into and made effective as of [Effective Date] ("Effective Date"), by and between the following parties:
LANDLORD: [Landlord Full Legal Name], having its principal place of business at [Landlord Principal Address] ("Landlord").
TENANT: [Tenant Full Legal Name], having its principal place of business at [Tenant Principal Address] ("Tenant").
RECITALS:
WHEREAS, Landlord is the fee simple owner of the real property situated in the County of [County Name], State of California, commonly known as [Property Street Address], including the building and improvements situated thereon ("Building"); and
WHEREAS, Landlord desires to lease to Tenant, and Tenant desires to lease from Landlord, the premises within the Building, upon the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby mutually acknowledged, the parties agree as follows:
1. PREMISES & APPURTENANT RIGHTS
1.1 Demised Premises
Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, for the Term hereinafter stated, those certain premises designated as Suite/Unit [Suite Number], consisting of approximately [Square Footage] rentable square feet ("Premises"), located on the [Floor Number] floor of the Building located at [Property Street Address], City of [City], California, Zip Code [Zip Code]. The exterior walls and the roof of the Building, as well as any common areas, are not demised hereby, except as expressly provided.
1.2 Measurement and Rentable Area
The parties stipulate and agree that the rentable square footage of the Premises set forth herein is conclusive and binding, and shall not be subject to re-measurement or adjustment during the Term of this Lease, except in the event of a physical expansion or contraction of the Premises mutually agreed upon in writing by the parties.
1.3 Common Areas
Tenant shall have the non-exclusive, shared right, in common with other tenants, occupants, invitees, and guests of the Building, to use the Common Areas (as hereinafter defined), subject to such reasonable rules and regulations as Landlord may promulgate from time to time. "Common Areas" shall mean all areas and facilities within the Building and property exterior that are provided and designated by Landlord from time to time for the general use and convenience of Landlord and tenants of the Building, including lobbies, hallways, elevators, stairwells, and parking facilities.
2. TERM
2.1 Initial Term
The initial term of this Lease shall commence on [Lease Commencement Date] ("Commencement Date") and shall expire on [Lease Expiration Date] ("Expiration Date"), unless sooner terminated or extended pursuant to the terms hereof.
2.2 Early Access and Fixturing
If Tenant is permitted to enter the Premises prior to the Commencement Date for the purpose of installing fixtures, equipment, or performing interior improvements, such entry shall be subject to all the terms and conditions of this Lease, except for the obligation to pay Base Rent, and shall be undertaken at Tenant's sole risk.
2.3 Holding Over
If Tenant retains possession of the Premises or any portion thereof after the expiration or sooner termination of this Lease without Landlord's written consent, such tenancy shall be deemed to be a tenancy at sufferance only, at a monthly base rental rate equal to [Multiplier, e.g., 150%] of the Base Rent applicable during the final month of the Term, and subject to all other terms, covenants, and conditions of this Lease. Acceptance of rent by Landlord during such holdover period shall not constitute a renewal or extension of this Lease.
3. RENT & OTHER CHARGES
3.1 Base Rent
Tenant shall pay to Landlord, without prior notice, demand, deduction, or offset, the sum of [Amount in USD] per month ("Base Rent") as initial rent for the Premises. Base Rent shall be payable in advance on the first (1st) day of each and every calendar month during the Term. If the Commencement Date falls on a day other than the first day of a calendar month, Base Rent for such fractional month shall be prorated on a per diem basis.
3.2 Additional Rent
All charges, costs, and sums required to be paid by Tenant under this Lease, other than Base Rent, shall be designated as "Additional Rent." Base Rent and Additional Rent shall collectively be referred to as "Rent." All Rent shall be paid in lawful money of the United States of America to Landlord at the address designated for notices, or to such other person or at such other place as Landlord may designate in writing.
3.3 Security Deposit
Upon execution of this Lease, Tenant shall deposit with Landlord the sum of [Amount in USD] as a security deposit ("Security Deposit"). The Security Deposit shall be held by Landlord as security for the faithful performance by Tenant of all terms, covenants, and conditions of this Lease. Landlord may apply all or part of the Security Deposit to cure any default of Tenant under this Lease, including unpaid Rent or damage to the Premises. If Landlord applies any portion of the Security Deposit, Tenant shall, within ten (10) days after written demand, restore the Security Deposit to its original amount. Upon expiration or termination of this Lease, and provided Tenant has fully and faithfully complied with all terms hereof, Landlord shall return any unused portion of the Security Deposit to Tenant, without interest, within thirty (30) days following surrender of the Premises. This Security Deposit shall be governed by California Civil Code Section 1950.7.
3.4 Late Charges and Returned Checks
Tenant acknowledges that the late payment of Rent will cause Landlord to incur administrative costs and expenses, the exact amount of which is extremely difficult and impractical to fix. Therefore, if any installment of Rent is not received by Landlord within five (5) days after the date due, Tenant shall pay to Landlord a late charge equal to [Percentage, e.g., 5%] of the overdue amount. In addition, any check given to Landlord which is dishonored for any reason shall be subject to a returned check fee of [Amount in USD, e.g., $50.00].
4. SECURITY DEPOSIT (RESERVED)
See Section 3.3 above for comprehensive Security Deposit terms and California statutory compliance.
5. USE OF PREMISES
5.1 Permitted Use
The Premises shall be used and occupied solely for [Permitted Commercial Use, e.g., general administrative offices, software development, and professional consulting services] and for no other purpose whatsoever without the prior written consent of Landlord.
5.2 Compliance with Laws and Regulations
Tenant shall, at its sole cost and expense, promptly comply with all applicable federal, state, county, and municipal laws, ordinances, codes, rules, regulations, and orders of any governmental authority having jurisdiction over the Premises, including the Americans with Disabilities Act (ADA) as applied to Tenant’s specific interior operations. Tenant shall not use or permit the Premises to be used in any manner that constitutes a waste, public or private nuisance, or disturbs other occupants of the Building.
5.3 Hazardous Materials
Tenant shall not cause or permit any Hazardous Material (as defined herein) to be brought upon, kept, or used in or about the Premises or the Building by Tenant, its agents, employees, contractors, or invitees. "Hazardous Material" shall mean any hazardous, toxic, or radioactive substance, material, or waste defined or regulated as such by any federal, state, or local statute, law, ordinance, or regulation. Tenant shall indemnify, defend, and hold harmless Landlord from and against any and all claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to any breach of this covenant by Tenant.
6. MAINTENANCE, REPAIRS, AND ALTERATIONS
6.1 Landlord’s Obligations
Landlord shall maintain, repair, and keep in good condition the structural portions of the Building, including the foundation, exterior walls, roof, and load-bearing columns, as well as the mechanical, electrical, plumbing, and HVAC systems serving the Building as a whole. Landlord shall not be required to make any repairs resulting from the acts or omissions of Tenant, its agents, employees, or invitees.
6.2 Tenant’s Obligations
Except for services and repairs expressly undertaken by Landlord pursuant to Section 6.1, Tenant shall, at its sole cost and expense, maintain, repair, and keep the interior of the Premises in good, clean, safe, and operable condition. Tenant shall promptly repair any damage to the Premises or the Building caused by Tenant, its agents, employees, contractors, or invitees.
6.3 Alterations and Improvements
Tenant shall not make or permit any alterations, additions, or improvements to the Premises ("Alterations") without the prior written consent of Landlord, which consent shall not be unreasonably withheld, conditioned, or delayed for non-structural interior alterations that do not affect the Building systems. All Alterations made by Tenant shall, upon installation, become the property of Landlord, except that Landlord may, by written notice to Tenant at the time of approving such Alterations, require Tenant to remove any or all Alterations and restore the Premises to its original condition upon the expiration or termination of this Lease.
7. UTILITIES AND SERVICES
7.1 Provision of Utilities
Landlord shall provide, during normal business hours, customary Building utilities and services, including electricity, water, heating, ventilation, air conditioning (HVAC), and janitorial services for common areas.
7.2 Interruption of Services
Landlord shall not be liable in damages or otherwise for any failure or interruption of any utility or service caused by accident, breakage, repairs, strikes, lockouts, labor disputes, or any other cause beyond Landlord's reasonable control. Such failure or interruption shall not constitute an eviction of Tenant, constructive or otherwise, nor shall it excuse Tenant from the obligation to pay Rent.
8. INSURANCE AND INDEMNIFICATION
8.1 Tenant’s Insurance
Tenant shall, at its sole cost and expense, maintain throughout the Term:
- Commercial General Liability Insurance protecting against claims for bodily injury, personal injury, or property damage arising out of Tenant’s operations, with combined single limits of not less than [Amount in USD, e.g., $2,000,000] per occurrence and [Amount in USD, e.g., $4,000,000] in the aggregate.
- Property Insurance covering all trade fixtures, inventory, equipment, and personal property located within the Premises for full replacement cost.
- Workers' Compensation Insurance in statutory amounts, together with Employer's Liability coverage of not less than [Amount in USD, e.g., $1,000,000].
8.2 Additional Insureds and Certificates
All liability insurance policies required of Tenant shall name Landlord, its managing agent, and its mortgagees as additional insureds. Tenant shall deliver to Landlord certificates of insurance evidencing such coverage prior to the Commencement Date and upon each renewal thereof.
8.3 Mutual Waiver of Subrogation
Landlord and Tenant each waive any and all rights of recovery against the other, and against the officers, directors, employees, agents, and representatives of the other, for loss of or damage to its property or the property of others under its control, to the extent that such loss or damage is insured against under any property insurance policy in force at the time of such loss or damage.
8.4 Indemnification
Tenant shall indemnify, defend (with counsel reasonably acceptable to Landlord), and hold harmless Landlord, its property manager, and their respective officers, directors, partners, agents, and employees from and against any and all claims, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) the use or occupancy of the Premises by Tenant or its invitees; (b) any breach or default by Tenant in the performance of its obligations under this Lease; or (c) any act, omission, negligence, or willful misconduct of Tenant or its agents, employees, contractors, or invitees.
9. DAMAGE OR DESTRUCTION
9.1 Partial Damage
If the Premises or the Building are damaged by fire or other casualty, Landlord shall, except as provided herein, promptly repair the same, provided such repairs can, in Landlord's reasonable judgment, be completed within one hundred eighty (180) days following the date of such damage under applicable laws and regulations. Base Rent shall be equitably abated in proportion to the degree to which Tenant's use of the Premises is impaired.
9.2 Total Destruction
If the Premises or the Building are substantially destroyed by fire or other casualty, or if such damage cannot be repaired within one hundred eighty (180) days, either party may terminate this Lease by giving written notice to the other within thirty (30) days following the date of occurrence.
10. EMINENT DOMAIN
If the whole of the Premises, or such substantial part thereof as to make the remainder untenantable for the Permitted Use, is taken or condemned for any public or quasi-public use under any statute or by right of eminent domain, this Lease shall terminate as of the date title vests in the condemning authority. All compensation awarded for such taking shall belong to Landlord; provided, however, that Tenant may assert a separate claim for its relocation costs and trade fixtures, provided such claim does not diminish Landlord’s award.
11. ASSIGNMENT AND SUBLETTING
11.1 Prohibition
Tenant shall not voluntarily or involuntarily assign, mortgage, pledge, encumber, or otherwise transfer this Lease, or sublet the whole or any part of the Premises, or allow any other person or entity to occupy or use the Premises, without the prior written consent of Landlord, which consent shall not be unreasonably withheld, conditioned, or delayed. Any attempted assignment or subletting without Landlord’s prior written consent shall be void ab initio and shall constitute an immediate material default under this Lease.
11.2 Landlord’s Consent Parameters
Landlord's consent to an assignment or subletting shall not release Tenant from its primary liability under this Lease. Regardless of Landlord’s consent, Tenant shall pay to Landlord [Percentage, e.g., 50%] of any excess rent or other consideration received by Tenant from a subtenant or assignee over and above the Rent payable under this Lease.
12. DEFAULTS AND REMEDIES
12.1 Events of Default
The occurrence of any of the following shall constitute a material default and breach of this Lease by Tenant ("Event of Default"):
- Failure by Tenant to pay any installment of Rent or any other charge required to be paid by Tenant within five (5) days after the date due.
- Failure by Tenant to observe or perform any other covenant, condition, or agreement of this Lease to be observed or performed by Tenant, where such failure continues for thirty (30) days after written notice from Landlord.
- The filing of a petition by or against Tenant under any bankruptcy, insolvency, or similar law, or the appointment of a receiver or trustee for all or substantially all of Tenant's assets, or the making of an assignment for the benefit of creditors.
- The abandonment or vacation of the Premises by Tenant for a continuous period exceeding fifteen (15) consecutive days.
12.2 Landlord’s Remedies
Upon the occurrence of an Event of Default, Landlord shall have the right, at its election, to exercise any one or more of the following remedies, in addition to all other rights and remedies provided at law or in equity:
- Termination of Lease: Terminate this Lease and recover possession of the Premises. Pursuant to California Civil Code Section 1951.2, Landlord may recover from Tenant the worth at the time of award of the unpaid rent which had been earned at the time of termination, plus the worth at the time of award of the amount by which the unpaid rent which would have been earned after termination until the time of award exceeds the amount of such rental loss that Tenant proves could have been reasonably avoided, plus any other amount necessary to compensate Landlord for all detriment proximately caused by Tenant's failure to perform its obligations.
- Continuation of Lease: Maintain this Lease in full force and effect and enforce all of Landlord's rights and remedies under this Lease, including the right to collect Rent as it becomes due, pursuant to California Civil Code Section 1951.4.
13. SURRENDER OF PREMISES
Upon the expiration or sooner termination of this Lease, Tenant shall peaceably surrender and yield up the Premises to Landlord in good order, condition, and repair, ordinary wear and tear and damage by fire or casualty excepted, broom clean, and free of all personal property and trade fixtures. Any personal property left on the Premises after surrender shall be deemed abandoned by Tenant and may, at Landlord's option, be stored, removed, or disposed of by Landlord at Tenant's sole expense, without liability to Landlord.
14. DISPUTE RESOLUTION & ARBITRATION
14.1 Mandatory Mediation
In the event of any dispute, controversy, or claim arising out of or relating to this Lease, including its formation, performance, breach, or termination, the parties agree first to attempt to settle the dispute by good-faith mediation administered by JAMS or a mutually agreed mediation service in the State of California, prior to resorting to litigation or arbitration.
14.2 Binding Arbitration
If the dispute is not resolved through mediation within thirty (30) days after the initial demand for mediation, the controversy shall be settled by binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures. The place of arbitration shall be [City, California], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
15. GOVERNING LAW AND JURISDICTION
This Lease shall be interpreted, construed, and governed by and in accordance with the laws of the State of California, without regard to its conflict of laws principles. The parties irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located within [County Name] County, California, for any legal action or proceeding arising out of this Lease.
16. MISCELLANEOUS PROVISIONS
16.1 Entire Agreement
This Lease, together with any exhibits, addenda, and schedules attached hereto, constitutes the entire agreement between Landlord and Tenant with respect to the subject matter hereof, and supersedes all prior oral or written agreements, negotiations, understandings, and representations.
16.2 Amendments
No amendment, modification, or waiver of any provision of this Lease shall be binding unless executed in writing by both Landlord and Tenant.
16.3 Severability
If any provision of this Lease is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Lease shall remain in full force and effect.
16.4 Counterparts and Electronic Signatures
This Lease may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Signatures transmitted via facsimile, PDF, or secure electronic signature platforms (such as DocuSign or Adobe Sign) shall be binding and have the same legal force and effect as original signatures.
