LANDLORD:
[Company Full Legal Name], a [State of Incorporation/Organization] [Corporation/LLC], having its principal place of business and corporate office located at [Principal Address] ("Landlord").

[Client Full Legal Name], a [State of Incorporation/Organization] [Corporation/LLC], having its principal place of business and corporate office located at [Principal Address] ("Tenant").

RECITALS:
WHEREAS, Landlord is the lawful owner of the real property situated in the County of [County], State of [State], commonly known as [Property Street Address, City, State, Zip], including the building and improvements thereon (the "Building"); and
WHEREAS, Landlord desires to lease to Tenant, and Tenant desires to lease from Landlord, the Premises (as defined herein) upon the terms, covenants, and conditions hereinafter set forth;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: PREMISES & GRANT OF LEASE

1.1 Demise of Premises. Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, approximately [Number] rentable square feet of floor space located on the [Floor Number, e.g., 3rd] floor of the Building, designated as Suite [Suite Number] (the "Premises"), as more particularly outlined on the floor plan attached hereto as Exhibit A.
1.2 Common Areas. Tenant shall have the non-exclusive right, in common with other tenants, Landlord, and their respective invitees, guests, and employees, to use the common areas of the Building (the "Common Areas"), which include lobbies, elevators, stairwells, hallways, and parking facilities, subject to such reasonable rules and regulations as Landlord may promulgate from time to time.
1.3 Measurement & As-Is Acceptance. The rentable square footage of the Premises has been calculated in accordance with BOMA standards. Except as expressly set forth in this Lease or any attached Work Letter (Exhibit B), Tenant accepts the Premises in its "AS-IS, WHERE-IS" condition as of the Commencement Date, with all faults, and without any representations or warranties, express or implied, of any kind by Landlord, including without limitation, any warranty of habitability, merchantability, or fitness for a particular purpose.

SECTION 2: TERM

2.1 Initial Term. The initial term of this Lease (the "Initial Term") shall commence on [Lease Commencement Date] (the "Commencement Date") and shall expire on [Lease Expiration Date] (the "Expiration Date"), unless terminated earlier in accordance with the provisions of this Lease.
2.2 Holding Over. If Tenant remains in possession of the Premises after the expiration or termination of this Lease without Landlord's express written consent, such tenancy shall be deemed a month-to-month tenancy at sufferance, subject to all terms and conditions of this Lease, except that the Base Rent payable during such holdover period shall be equal to [One Hundred Fifty Percent (150%)] of the Base Rent in effect immediately prior to such expiration or termination. Nothing in this Section 2.2 shall be construed as consent by Landlord to Tenant holding over.

SECTION 3: RENT & FINANCIAL OBLIGATIONS

3.1 Base Rent. Tenant covenants and agrees to pay to Landlord, without notice, demand, deduction, or set-off, base rent ("Base Rent") in the initial monthly amount of [Amount in USD] ($[0.00]), payable on or before the first (1st) day of each calendar month during the Term. If the Commencement Date falls on a day other than the first day of a calendar month, Base Rent for the partial month shall be prorated on a per diem basis.
3.2 Additional Rent. In addition to Base Rent, Tenant shall pay all other sums of money as shall become due and payable by Tenant to Landlord under this Lease, including utility charges, operating expense escalations, and real estate tax escalations (collectively, "Additional Rent"). Base Rent and Additional Rent are sometimes collectively referred to herein as "Rent."
3.3 Security Deposit. Concurrently with the execution of this Lease, Tenant shall deposit with Landlord the sum of [Amount in USD] ($[0.00]) as a security deposit (the "Security Deposit") to secure the faithful performance by Tenant of all terms, covenants, and conditions of this Lease. Landlord may apply all or part of the Security Deposit to cure any default by Tenant. If Landlord applies any portion of the Security Deposit, Tenant shall, within ten (10) days after written demand, restore the Security Deposit to its original amount. Upon the expiration of this Lease and the surrender of the Premises in compliance with all terms hereof, Landlord shall return any unapplied portion of the Security Deposit to Tenant within thirty (30) days, without interest.
3.4 Late Charges & Interest. If Tenant fails to pay any installment of Rent within five (5) days after the date when due, Tenant shall pay to Landlord a late charge equal to [Five Percent (5%)] of the overdue amount to compensate Landlord for administrative costs. In addition, any past-due Rent shall accrue interest at the lesser of eighteen percent (18%) per annum or the maximum rate permitted by applicable law, calculated from the date due until paid in full.

SECTION 4: USE OF PREMISES

4.1 Permitted Use. The Premises shall be used and occupied solely for general office, administrative, and professional purposes and for no other purpose whatsoever (the "Permitted Use"). Tenant shall not use or permit the Premises to be used in any manner that violates applicable municipal, county, state, or federal laws, ordinances, or regulations.
4.2 Environmental Compliance & Hazardous Materials. Tenant shall not store, generate, treat, dispose of, or release any Hazardous Materials on, under, or about the Premises or the Building. "Hazardous Materials" shall mean any substance, material, or waste defined or regulated as hazardous, toxic, or radioactive under any environmental law, statute, or regulation.

SECTION 5: MAINTENANCE, REPAIRS, & ALTERATIONS

5.1 Landlord Maintenance Obligations. Landlord shall maintain, repair, and keep in good condition and working order the structural components of the Building, the roof, exterior walls, foundation, and utility systems servicing the common areas.
5.2 Tenant Maintenance Obligations. Tenant shall, at its sole cost and expense, maintain and keep the interior of the Premises in good, clean, safe, and sanitary condition, including interior partitions, doors, fixtures, and interior glass.
5.3 Alterations. Tenant shall not make any structural alterations, additions, or improvements to the Premises without obtaining Landlord's prior written consent, which consent shall not be unreasonably withheld, conditioned, or delayed. Any alterations approved by Landlord shall be performed by licensed and insured contractors in compliance with all applicable building codes. All permanent alterations and improvements affixed to the Premises shall, at Landlord's option, become Landlord's property upon the expiration or termination of this Lease.

SECTION 6: UTILITIES & SERVICES

6.1 Building Provided Utilities. Landlord shall provide reasonable and customary utilities and services, including electricity, water, HVAC, and elevator service during standard business hours ([8:00 AM to 6:00 PM], Monday through Friday, excluding legal holidays).
6.2 Interruption of Services. Landlord shall not be liable to Tenant for any interruption, failure, or shortage of utility services or HVAC resulting from causes beyond Landlord's reasonable control. Such interruptions shall not constitute a constructive eviction or grounds for abatement of Rent.

SECTION 7: INSURANCE & INDEMNIFICATION

7.1 Tenant Insurance. Tenant shall, at its sole cost and expense, maintain throughout the Term: (a) Commercial General Liability insurance naming Landlord as an additional insured, with minimum limits of $[1,000,000] per occurrence and $[2,000,000] in the aggregate; (b) Property insurance covering all personal property, trade fixtures, and leasehold improvements installed by Tenant; and (c) Statutory Workers' Compensation insurance.
7.2 Mutual Waiver of Subrogation. Landlord and Tenant each hereby waive any and all rights of recovery against the other, and against the officers, directors, employees, agents, and representatives of the other, for loss of or damage to its property or the property of others under its control, to the extent that such loss or damage is insured against under any property insurance policy in force at the time of the loss.
7.3 Indemnification. Tenant shall defend, indemnify, and hold harmless Landlord, its property manager, and their respective officers, directors, and employees from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Tenant's use and occupancy of the Premises; (b) any breach or default by Tenant under this Lease; or (c) any negligent act or omission or willful misconduct of Tenant, its agents, employees, or invitees.

SECTION 8: DEFAULT & REMEDIES

8.1 Events of Default. The occurrence of any of the following shall constitute an "Event of Default" by Tenant:
(a) Failure by Tenant to pay Base Rent, Additional Rent, or any other monetary obligation within five (5) days after written notice from Landlord that the same is due;
(b) Failure by Tenant to observe or perform any other covenant, agreement, or condition of this Lease within thirty (30) days after written notice specifying the default;
(c) The filing of a petition by or against Tenant under the federal Bankruptcy Code or any similar state insolvency law; or
(d) The abandonment or vacation of the Premises by Tenant for a period exceeding thirty (30) consecutive days.
8.2 Landlord Remedies. Upon the occurrence of an Event of Default, Landlord shall have the right, at its election, to pursue any one or more of the following remedies without notice or demand:
(a) Terminate this Lease and Tenant's right to possession of the Premises, and recover damages equal to all past-due Rent, plus the worth at the time of award of the unpaid Rent for the balance of the Term;
(b) Terminate Tenant's right to possession without terminating this Lease, re-enter the Premises, and re-let the same on such terms as Landlord may deem advisable, crediting the net proceeds against Tenant's obligations; or
(c) Pursue any other remedy now or hereafter available to Landlord under the laws of the State of [State].

SECTION 9: ASSIGNMENT & SUBLETTING

9.1 Prohibition. Tenant shall not assign, mortgage, hypothecate, or transfer this Lease, or sublet the whole or any part of the Premises, without obtaining Landlord's prior written consent in each instance, which consent shall not be unreasonably withheld. Any attempted transfer without such consent shall be void ab initio and shall constitute a material Event of Default.

SECTION 10: DISPUTE RESOLUTION & ARBITRATION

10.1 Good Faith Negotiations. In the event of any dispute, controversy, or claim arising out of or relating to this Lease, the parties shall first attempt to resolve the matter through good-faith negotiations between designated executive representatives for a period of thirty (30) days.
10.2 Binding Arbitration. If the dispute is not resolved through negotiations, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in [City, State], before a single neutral arbitrator. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.

SECTION 11: GOVERNING LAW & JURISDICTION

11.1 Governing Law. This Lease, and all claims or causes of action arising out of or relating to this Lease, shall be governed by, construed, and enforced in accordance with the substantive laws of the State of [State], without regard to its conflict of laws principles.
11.2 Consent to Jurisdiction. The parties irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in [County] County, [State], for any legal action or proceeding arising out of this Lease that is not subject to arbitration under Section 10.

SECTION 12: MISCELLANEOUS PROVISIONS

12.1 Entire Agreement. This Lease, including all exhibits and riders attached hereto, constitutes the entire agreement between Landlord and Tenant with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements, whether oral or written.
12.2 Amendments. No amendment, modification, or waiver of any provision of this Lease shall be effective unless set forth in a written instrument executed by authorized representatives of both Landlord and Tenant.
12.3 Severability. If any provision of this Lease is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
12.4 Counterparts & Electronic Signatures. This Lease may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of this Lease by facsimile, email PDF, or digital signature platform (such as DocuSign or Adobe Sign) shall be equally effective as delivery of an original manual execution.
