STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Document Customization: Open this text in a word processor. Perform a "Find and Replace" (Ctrl+H) for all bracketed terms (e.g., [Company Full Legal Name]) to input your specific entity and project details. Ensure the "Scope of Work" (Exhibit A) is detailed enough to prevent future performance disputes.
  2. Verify Authority: Before signature, confirm that the individuals signing have the corporate authority (via Articles of Incorporation, Bylaws, or Board Resolution) to bind their respective companies to service contracts.
  3. Digital Execution: Save the document as a PDF. Utilize a secure e-signature platform (e.g., DocuSign, Adobe Sign, or HelloSign) to manage the signing flow. This ensures audit trails and non-repudiation.
  4. Record Retention: Maintain the executed PDF in a secure, encrypted digital repository or cloud storage solution. It is standard legal practice to retain signed contracts for a minimum of seven (7) years following the expiration or termination of the agreement.
  5. Conflict Check: If this agreement is part of a larger facility management suite, ensure it does not conflict with existing master service agreements (MSAs) currently in place between the parties.
