WHEREAS, Landlord desires to lease to Tenant, and Tenant desires to lease from Landlord, the premises situated within the Building, under the terms, covenants, and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: PREMISES & SCOPE OF LEASE
1.1 Demise of Premises: Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, approximately [Approximate Square Footage] rentable square feet located on the [Floor Number, e.g., 2nd] floor of the Building, commonly known as Suite [Suite Number] (the "Premises"), as outlined on the floor plan attached hereto as Exhibit A.
1.2 Building Common Areas: Tenant shall have the non-exclusive right, in common with other tenants, occupants, and invitees of the Building, to use the common areas of the Building (the "Common Areas"), which include lobbies, elevators, stairwells, hallways, and common restrooms, subject to such reasonable rules and regulations as Landlord may promulgate from time to time.
1.3 Acceptance of Premises: Tenant acknowledges that it has inspected the Premises and accepts the same in its "AS-IS, WHERE-IS" condition, with all faults, as of the Commencement Date, except as otherwise expressly set forth in this Lease or in any separate Work Letter attached hereto as Exhibit B.
SECTION 2: TERM
2.1 Initial Term: The initial term of this Lease shall commence on [Lease Commencement Date] (the "Commencement Date") and shall expire on [Lease Expiration Date] (the "Expiration Date"), unless terminated earlier in accordance with the provisions of this Lease.
2.2 Holding Over: If Tenant retains possession of the Premises or any part thereof after the expiration or termination of this Lease without Landlord's express written consent, such tenancy shall be deemed a tenancy at sufferance at one hundred fifty percent (150%) of the Base Rent applicable during the final month of the term, plus all Additional Rent, and subject to all other terms and conditions herein.
SECTION 3: RENT & PAYMENT TERMS
3.1 Base Rent: Tenant covenants and agrees to pay to Landlord base rent (the "Base Rent") for the Premises in the annual amount of [Amount in USD] ($[Numeric Amount]), payable in equal monthly installments of [Monthly Amount in USD] ($[Numeric Monthly Amount]). Base Rent shall be due and payable in advance on the first (1st) day of each calendar month during the term hereof, without notice, demand, deduction, or setoff.
3.2 Additional Rent: All other sums of money or charges required to be paid by Tenant under this Lease, including but not limited to Operating Expenses, utilities, and taxes, shall be deemed "Additional Rent." Base Rent and Additional Rent are collectively referred to as "Rent."
3.3 Invoicing & Payment Mechanics: Landlord may, as a matter of administrative convenience, provide monthly invoices to Tenant; however, the failure of Landlord to provide such invoices shall not relieve Tenant of its obligation to pay Rent on the due date. Payments shall be remitted to Landlord at the address set forth in Section 15 or via electronic funds transfer (ACH/Wire) pursuant to written instructions provided by Landlord.
3.4 Late Charges & Interest: If Tenant fails to pay any installment of Rent within five (5) days after the date when due, Tenant shall pay to Landlord a late charge equal to five percent (5%) of the overdue amount to cover administrative costs. In addition, any delinquent Rent shall bear interest from the date due until paid at the lesser of eighteen percent (18%) per annum or the maximum rate permitted by applicable law.
3.5 Security Deposit: Upon execution of this Lease, Tenant shall deposit with Landlord the sum of [Security Deposit Amount in USD] ($[Numeric Security Deposit]) as a security deposit (the "Security Deposit"). The Security Deposit shall be held by Landlord as security for the faithful performance by Tenant of all terms, covenants, and conditions of this Lease. Landlord may apply all or part of the Security Deposit to cure any default of Tenant. Upon any such application, Tenant shall restore the Security Deposit to its original amount within ten (10) days after written demand.

SECTION 6: MAINTENANCE, REPAIRS, & ALTERATIONS
6.1 Landlord Maintenance: Landlord shall maintain, repair, and keep in good condition the structural elements of the Building, the roof, exterior walls, foundation, and the Building's core mechanical, electrical, and plumbing systems. 6.2 Tenant Maintenance: Tenant shall, at its sole cost and expense, maintain and keep the interior of the Premises (including non-structural walls, floors, doors, and interior windows) in good, clean, and sanitary condition and repair. 6.3 Alterations: Tenant shall not make any structural alterations, additions, or improvements to the Premises without the prior written consent of Landlord, which consent shall not be unreasonably withheld, conditioned, or delayed. All alterations made by Tenant shall become the property of Landlord upon the expiration or termination of this Lease, unless Landlord requires their removal pursuant to Section 6.4. 6.4 Mechanic's Liens: Tenant shall keep the Premises and the Building free from any liens arising out of any work performed, materials furnished, or obligations incurred by Tenant. Tenant shall discharge any such lien within twenty (20) days of notice thereof.
SECTION 7: INSURANCE & INDEMNIFICATION
7.1 Tenant's Insurance: Tenant shall, at its sole cost and expense, maintain throughout the term commercial general liability insurance with a combined single limit of not less than [Liability Amount, e.g., $2,000,000] per occurrence for bodily injury and property damage, insuring Tenant and naming Landlord as an additional insured. Tenant shall also maintain property insurance covering all of Tenant’s trade fixtures, equipment, and personal property.
7.2 Waiver of Subrogation: Landlord and Tenant each waive any and all rights of recovery against the other, and against the officers, employees, agents, and representatives of the other, for loss of or damage to its property or the property of others under its control, to the extent that such loss or damage is insured against under any property insurance policy in force at the time of such loss or damage.
7.3 Indemnification: Tenant shall defend, indemnify, and hold harmless Landlord, its property manager, and their respective officers, directors, agents, and employees from and against all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from (a) Tenant's use or occupancy of the Premises, (b) any breach or default by Tenant under this Lease, or (c) any negligent act or omission of Tenant or its agents, contractors, invitees, or employees.

SECTION 9: DESTRUCTION, DAMAGE, OR EMINENT DOMAIN
9.1 Casualty Damage: If the Premises or Building is damaged by fire or other casualty, Landlord shall repair the same provided such repairs can, in Landlord's reasonable estimation, be completed within one hundred eighty (180) days. Rent shall abate proportionately during any period in which Tenant is deprived of the use of all or a portion of the Premises. 9.2 Condemnation: If the whole or any material part of the Premises is taken or condemned for any public or quasi-public use under any governmental law, ordinance, or regulation, or by right of eminent domain, this Lease shall terminate as of the date title vests in the condemning authority, and Rent shall be apportioned as of such date.
SECTION 10: ASSIGNMENT & SUBLETTING
10.1 Prohibition: Tenant shall not assign, mortgage, pledge, or encumber this Lease, nor sublet the whole or any part of the Premises, nor permit any license or other occupancy of any part thereof, without the prior written consent of Landlord in each instance, which consent shall not be unreasonably withheld, conditioned, or delayed. Any attempted assignment or sublease without such consent shall be void ab initio.
SECTION 11: SURRENDER OF PREMISES
11.1 Condition Upon Surrender: Upon the expiration or earlier termination of this Lease, Tenant shall peaceably surrender and deliver the Premises to Landlord in as good condition as when received, reasonable wear and tear and damage by casualty excepted, broom-clean, and free of all Tenant's personal property and trade fixtures.
SECTION 12: GOVERNING LAW, JURISDICTION, & DISPUTE RESOLUTION
12.1 Governing Law: This Lease shall be governed by, construed, and enforced in accordance with the substantive laws of the State of [State Name], without regard to its conflict of laws principles.
