INSTRUCTIONS FOR USE

• Completion: The Client and Service Provider must complete all bracketed fields. Ensure the scope of work (Exhibit A) is detailed to prevent ambiguity.
• Filing/Retention: Both parties shall retain an executed digital or physical copy for a minimum of seven (7) years following the termination of the agreement for tax and audit compliance.
• Attachments: Mandatory attachments include Exhibit A (Scope of Services) and Exhibit B (Liability/Insurance Coverage details).

6. CONFIDENTIALITY AND SECURITY

The Service Provider agrees to keep all information regarding the Client’s premises, business operations, and personal property strictly confidential. Access keys or codes provided to the Service Provider shall be held in a secure manner and returned upon contract conclusion.

7. LIMITATION OF LIABILITY

The Service Provider shall maintain General Liability Insurance in an amount no less than [__________]. The Service Provider’s total liability for any claims arising out of this agreement shall not exceed the total fees paid by the Client in the [__________] months preceding the claim.
