3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Scope of Services & Engagement

1.1 Engagement. The Client hereby engages the Company, and the Company accepts such engagement, to provide the professional services described herein and in any subsequently executed Statements of Work (each, an "SOW") substantially in the form attached hereto as Exhibit A.

1.2 Performance Standards. The Company shall perform all services under this Agreement in a professional, workmanlike manner, in accordance with the highest industry standards, and by duly qualified and experienced personnel. The Company shall devote the necessary working time, attention, and resources to ensure the timely and effective completion of the scope of work.

1.3 Statements of Work. Each SOW shall expressly reference this Agreement and shall set forth a detailed description of the project deliverables, milestones, timelines, and specific compensation structures. In the event of any direct conflict between the terms of this Agreement and the terms of any SOW, the terms of this Agreement shall control, unless the SOW expressly states an intention to supersede a specific provision of this Agreement with respect to that specific project.

1.4 Client Cooperation. The Client shall provide timely access to necessary personnel, facilities, data, documentation, and technical environments required for the Company to perform its obligations. Any delays in project delivery directly resulting from the Client’s failure to provide required cooperation shall correspondingly extend the Company's delivery deadlines.

2.1 Fees. In consideration of the provision of the services and the assignment of intellectual property rights herein, the Client shall pay the Company the fees set forth in the applicable SOW or invoice, up to the total amount of [Amount in USD] USD, structured as either fixed fees, hourly rates, or milestone-based payments.

2.2 Invoicing. The Company shall issue invoices to the Client on a [monthly / milestone / project-completion] basis. Each invoice shall itemize the services rendered, hours expended (if applicable), and reimbursable expenses incurred during the preceding billing cycle.

2.3 Payment Due Date. All payments under this Agreement are due in full within [Number, e.g., 30] calendar days from the date of receipt of the Company's invoice (the "Due Date"). Payments shall be made in United States Dollars via wire transfer, ACH, or check to the bank account designated in writing by the Company.

2.4 Late Payments & Interest. Any undisputed invoice amount not paid when due shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is less, calculated from the date such payment was due until the date paid in full.

2.5 Disputed Invoices. If the Client disputes any portion of an invoice in good faith, the Client shall notify the Company in writing within ten (10) business days of receipt of the invoice, detailing the specific grounds for the dispute. The Client shall pay the undisputed portion of the invoice by the Due Date. The Parties shall negotiate in good faith to resolve any disputed amounts within fifteen (15) days of notice.

2.6 Expenses. The Client shall reimburse the Company for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred in connection with the performance of the services, including travel, lodging, and third-party software licenses, provided that the Company submits supporting receipts and documentation with its invoices.

Upon expiration of the Initial Term, this Agreement shall automatically renew for successive [Number, e.g., one (1)] year periods (each, a "Renewal Term") unless either Party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term.

3.2 Termination for Convenience. Either Party may terminate this Agreement, or any active SOW, for any reason or no reason, by providing at least [Number, e.g., 30] calendar days' prior written notice to the other Party.

3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party:

  • (a) Materially breaches any provision of this Agreement or an active SOW and fails to cure such material breach within thirty (30) calendar days after receipt of written notice detailing the specific breach;
  • (b) Files a petition in bankruptcy, becomes insolvent, makes an assignment for the benefit of creditors, or has a receiver appointed for its assets; or
  • (c) Ceases or threatens to cease to conduct business in the normal course.

3.4 Effect of Termination. Upon the effective date of termination of this Agreement or any SOW:

  • (a) The Client shall immediately pay the Company all accrued, unpaid fees and approved expenses for services rendered up to the effective date of termination.
  • (b) The Company shall cease all work under the terminated SOW or Agreement.
  • (c) Each Party shall promptly return or destroy (and certify destruction of) all Confidential Information of the other Party in its possession or control.
  • (d) Sections 4, 5, 6, 7, 8, and 9 shall survive any expiration or termination of this Agreement.

Section 4. Intellectual Property Ownership & Work Made for Hire

4.1 Pre-Existing Intellectual Property. Each Party retains all right, title, and interest in and to its respective pre-existing intellectual property, methodologies, software, tools, and proprietary materials developed independently of this Agreement ("Background IP"). Nothing in this Agreement shall be construed to transfer ownership of any Background IP from one Party to the other.

4.2 Work Product. 4.4 Company License to Background IP Embedded in Work Product. To the extent that any Company Background IP is incorporated into or necessary for the operation, maintenance, or exploitation of the Work Product, the Company hereby grants to the Client a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, transferable license to use, execute, reproduce, display, and distribute such Background IP solely as integrated into the Work Product.

Section 5. Mutual Confidentiality & Non-Disclosure

5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or confidential information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, financial data, customer lists, software code, trade secrets, and technical specifications.

5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, the Receiving Party shall, to the extent legally permitted, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy.

6.2 Performance Warranty. The Company warrants that the services performed under this Agreement will be executed in a professional and workmanlike manner in accordance with prevailing industry standards. For any breach of this performance warranty, the Client's exclusive remedy, and the Company's entire obligation, shall be the re-performance of the non-conforming services or, if re-performance is commercially impracticable, a refund of the pro-rata fees paid for the deficient services.

6.3 Non-Infringement Warranty. The Company represents and warrants that the Work Product delivered to the Client will not infringe, misappropriate, or violate any third-party copyright, patent, trademark, trade secret, or other intellectual property right.

6.4 Disclaimer of Implied Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • (a) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • (b) EXCEPT FOR LIABILITY ARISING FROM BREACHES OF SECTION 5 (CONFIDENTIALITY), INTELLECTUAL PROPERTY INFRINGEMENT UNDER SECTION 4, OR GROSS NEGLIGENCE/WILLFUL MISCONDUCT, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL UNDER NO CIRCUMSTANCES EXCEED THE TOTAL FEES ACTUALLY PAID OR PAYABLE BY THE CLIENT TO THE COMPANY UNDER THIS AGREEMENT IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7.2 Indemnification by Company. 7.3 Indemnification by Client. Section 8. Dispute Resolution & Arbitration

8.1 Negotiation and Escalation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement (a "Dispute"), the Parties shall first attempt to resolve the Dispute through good-faith negotiations between designated executive representatives of each Party. If the Dispute is not resolved within thirty (30) days of written notice of the Dispute, either Party may initiate binding arbitration.

8.2 Binding Arbitration. Any unresolved Dispute shall be settled by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. 10.4 Independent Contractors. The relationship of the Parties established by this Agreement is that of independent contractors.
