This Agreement shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein, and the Parties shall negotiate in good faith to replace such provision with a valid, legal, and enforceable provision that accomplishes the original economic and legal intent of the Parties.

5.2 Entire Agreement

This Agreement, together with Schedule A and any other exhibits or schedules expressly incorporated herein, constitutes the entire agreement between Lessor and Lessee with respect to the subject matter hereof, and supersedes all prior and contemporaneous discussions, negotiations, proposals, representations, understandings, and agreements, whether oral or written. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless executed in writing by the authorized representatives of both Parties.

5.3 Force Majeure

Neither Party shall be held liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts beyond the impacted Party's reasonable control, including, without limitation: acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot, national emergency, revolution, insurrection, epidemic, pandemic, embargoes, or extreme-scale utility failures (each, a "Force Majeure Event"). This Agreement, and all claims, disputes, or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [Jurisdiction], without regard to its conflict of laws principles. 5.5 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, the Parties shall first attempt in good faith to resolve such dispute through senior management negotiations.
