OPERATIVE CLAUSES
1. SCOPE OF SERVICES & ENGAGEMENT
1.1 Engagement. The Client hereby engages the Consultant as an independent contractor to provide the professional advisory, analytical, and strategic consulting services described herein and in any mutually executed Statements of Work (each, an "SOW") attached hereto as Exhibit A (collectively, the "Services"). 1.2 Performance Standards. The Consultant shall perform the Services in a professional, workmanlike manner, in accordance with industry standards of care, skill, and diligence. The Consultant shall allocate sufficient personnel and resources to ensure timely and competent performance of the Services. 1.3 Change Orders.
