3. PART II: AUTHORIZED LEASE AGREEMENT PROVISIONS

The following clauses represent the institutional-grade, exhaustive legal prose authorized by the Board of Directors for inclusion in the Lease Agreement between [Company Full Legal Name] (hereinafter "Landlord") and [Client Full Legal Name] (hereinafter "Tenant"). These provisions are intended to form the substantive and boilerplate terms governing the leasing of the Property.

3.1. SCOPE OF LEASE / DEMISED PREMISES

3.1.1. Demise of Premises. Landlord, for and in consideration of the rents hereinafter reserved and of the covenants and agreements hereinafter contained on the part of Tenant to be paid, kept and performed, hereby leases and demises unto Tenant, and Tenant hereby leases from Landlord, the premises located at [Full Property Address], legally described as [Legal Description of Property or reference to a more detailed exhibit], comprising approximately [Approximate Square Footage] rentable square feet (the "Demised Premises"), together with the non-exclusive right to use, in common with others, the common areas and facilities of the Property, including but not limited to, parking areas, access roads, sidewalks, and landscaped areas, subject to Landlord's reasonable rules and regulations.

3.1.2. Permitted Use. Tenant shall use the Demised Premises solely for [Specific Permitted Use, e.g., general office space, retail sales of consumer goods, light manufacturing and warehousing] and for no other purpose without the prior written consent of Landlord, which consent may be withheld in Landlord’s sole discretion. Tenant covenants and agrees not to use or permit the Demised Premises or any part thereof to be used for any unlawful purpose or in any manner that will violate any governmental law, ordinance, rule, or regulation, or which may be dangerous, noxious, or offensive, or which may increase the rate of insurance on the Demised Premises.

3.1.3. Condition of Premises. Tenant acknowledges that it has inspected the Demised Premises and accepts the same in its "AS IS" condition on the Effective Date, subject to any latent defects. Landlord makes no representations or warranties concerning the condition of the Demised Premises, except as expressly set forth herein. Any improvements, alterations, or additions made by Tenant to the Demised Premises shall be at Tenant's sole cost and expense and shall comply with all applicable laws and Landlord's prior written approval.

3.2. RENT & PAYMENT TERMS

3.2.1. Base Rent. Tenant shall pay to Landlord, without demand, deduction, or set-off, a fixed monthly rent ("Base Rent") of [Amount in USD] ([Amount in Words] U.S. Dollars), due and payable in advance on the first day of each calendar month during the Term, commencing on the Effective Date. If the Effective Date is not the first day of a calendar month, the Base Rent for the partial month shall be prorated based on a thirty (30) day month and paid on the Effective Date.

3.2.2. Additional Rent (Operating Expenses and Taxes). In addition to Base Rent, Tenant shall pay, as "Additional Rent," its proportionate share of all operating expenses and real estate taxes relating to the Property, as reasonably determined by Landlord, from time to time. Tenant's proportionate share shall be [Percentage, e.g., 25%] of such costs. Landlord shall provide Tenant with a reasonably detailed statement of such operating expenses and taxes annually, and Tenant shall pay any shortfall within thirty (30) days of receipt of such statement. Landlord shall have the right to estimate Additional Rent and require monthly payments thereof, with reconciliation at year-end.

3.2.3. Security Deposit. Upon execution of this Lease Agreement, Tenant shall deposit with Landlord a security deposit ("Security Deposit") in the amount of [Amount in USD] ([Amount in Words] U.S. Dollars) as security for the faithful performance by Tenant of all the terms, covenants, and conditions of this Lease Agreement. The Security Deposit shall be held by Landlord without interest, except where required by law, and may be applied by Landlord, at its option, to cure any default by Tenant or to compensate Landlord for any damages arising from Tenant's default. The unapplied portion of the Security Deposit shall be returned to Tenant within [Number] days after the expiration or earlier termination of this Lease Agreement, provided Tenant has fully complied with all terms hereof.

3.2.4. Late Payment and Interest. Any sum due from Tenant to Landlord under this Lease Agreement not paid within [Number] days after its due date shall bear interest at the rate of [Percentage, e.g., 10%] per annum or the maximum legal rate allowed by applicable law, whichever is less, from the due date until the date of payment. In addition to such interest, Tenant shall pay a late charge of [Amount in USD] ([Amount in Words] U.S. Dollars) for each payment received more than [Number] days after its due date to compensate Landlord for administrative costs incurred.

3.2.5. Payment Method. All payments of Base Rent, Additional Rent, and any other sums due hereunder shall be made by [Specify Payment Method, e.g., wire transfer, ACH, check] to Landlord at its Principal Address or such other address or account as Landlord may designate in writing from time to time.

3.3. TERM & TERMINATION

3.3.1. Term. This Lease Agreement shall commence on the "Effective Date" (as defined in the header) and shall continue for an initial term of [Number] years ("Initial Term"), expiring on [Expiration Date], unless sooner terminated as provided herein.

3.3.2. Option to Renew (if applicable). Provided Tenant is not in default hereunder, Tenant shall have [Number] option(s) to extend the Term for [Number] additional [Number]-year period(s) ("Renewal Term"), each upon the same terms and conditions as set forth herein, except for Base Rent, which shall be [Specify Rent for Renewal, e.g., 95% of Fair Market Rent, or CPI-adjusted] as mutually agreed or determined by appraisal. Tenant shall exercise any such option by providing written notice to Landlord at least [Number] months prior to the expiration of the then-current Term.

3.3.3. Termination for Convenience (if applicable). This Lease Agreement may not be terminated for convenience by either party, unless expressly provided for herein or by mutual written agreement.

3.3.4. Termination for Breach. a. Tenant's Default: If Tenant fails to pay any rent or other charges within [Number] days after the same shall become due and payable, or if Tenant fails to observe or perform any other covenant, condition, or agreement of this Lease Agreement to be observed or performed by Tenant for [Number] days after written notice thereof from Landlord, Landlord may, at its option, terminate this Lease Agreement upon written notice to Tenant. b. Landlord's Default: If Landlord fails to observe or perform any material covenant, condition, or agreement of this Lease Agreement to be observed or performed by Landlord for [Number] days after written notice thereof from Tenant, Tenant may, at its option, terminate this Lease Agreement upon written notice to Landlord, provided such default is not cured within such period. If the default is of a nature that it cannot reasonably be cured within [Number] days, Landlord shall have such additional time as is reasonably necessary to cure, provided Landlord commences cure within the [Number]-day period and diligently pursues such cure to completion.

3.3.5. Effect of Termination. Upon the expiration or earlier termination of this Lease Agreement for any reason whatsoever: a. Tenant shall immediately vacate the Demised Premises, remove all its property (including, without limitation, trade fixtures, equipment, and personal property), and deliver the Demised Premises to Landlord in the same condition as received, ordinary wear and tear, and approved alterations, excepted. b. All obligations of Landlord and Tenant hereunder shall cease, except for those obligations that expressly survive termination, including but not limited to, payment obligations accrued prior to termination, indemnification obligations, and confidentiality obligations. c. Tenant shall pay to Landlord all rent and other sums due and owing up to the effective date of termination.

3.4. INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE

3.4.1. Existing Intellectual Property. Each party shall retain all right, title, and interest in and to its respective intellectual property (including, but not limited to, patents, trademarks, copyrights, trade secrets, and proprietary information) that existed prior to the Effective Date or was developed independently of this Lease Agreement. This Lease Agreement does not grant any express or implied license or right to use the other party's intellectual property, except as strictly necessary for the performance of obligations or enjoyment of rights expressly granted under this Lease Agreement.

3.4.2. Tenant's Intellectual Property. Any intellectual property, including but not limited to, trade fixtures, signage, branding, logos, software, or data developed, created, or brought onto the Demised Premises by Tenant in connection with its permitted use of the Demised Premises shall be and remain the sole and exclusive property of Tenant. Landlord shall acquire no right, title, or interest in any such intellectual property by virtue of this Lease Agreement. Tenant shall have the right to remove its intellectual property from the Demised Premises upon termination of this Lease Agreement, provided such removal does not cause structural damage to the Demised Premises or is properly repaired by Tenant at its sole expense.

3.4.3. Landlord's Intellectual Property. All intellectual property rights in and to the design, structure, layout, and any proprietary systems of the building or Property, including any names, logos, or marks associated therewith (collectively, "Landlord IP"), shall be and remain the sole and exclusive property of Landlord. Tenant shall not use Landlord IP except as expressly authorized by Landlord in writing, and any such use shall cease immediately upon the termination of this Lease Agreement. Nothing in this Lease Agreement shall be construed to grant Tenant any ownership rights in Landlord IP.

3.4.4. Work Made for Hire (Not Applicable to Lease). The concept of "work made for hire" as typically defined under copyright law, where an employer or commissioning party owns works created by an employee or contractor, is generally not applicable to a standard property lease agreement. No provisions of this Lease Agreement shall be construed to create a "work made for hire" relationship between Landlord and Tenant, nor shall either party be deemed an employee or agent of the other for purposes of intellectual property creation.

3.5. MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

3.5.1. Definition of Confidential Information. "Confidential Information" means any and all non-public information, whether commercial, financial, technical, or otherwise, disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") in connection with this Lease Agreement, whether disclosed orally, visually, in writing, or in electronic form. Confidential Information includes, without limitation, the terms of this Lease Agreement, property financial data, business plans, tenant lists, rent rolls, building systems, security procedures, and proprietary processes. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was in the Receiving Party's possession prior to disclosure by the Disclosing Party without breach of any confidentiality obligation; (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; or (d) is rightfully obtained by the Receiving Party from a third party without restriction on disclosure.

3.5.2. Obligations of Confidentiality. The Receiving Party shall: a. Use the Confidential Information solely for the purpose of fulfilling its obligations or exercising its rights under this Lease Agreement; b. Maintain the Confidential Information in strict confidence and protect it with at least the same degree of care as it uses to protect its own similar confidential information, but in no event less than a reasonable degree of care; c. Not disclose, reproduce, or distribute the Confidential Information to any third party without the prior written consent of the Disclosing Party, except to its employees, agents, contractors, or advisors who have a need to know such information for the purpose of this Lease Agreement and who are bound by confidentiality obligations at least as restrictive as those contained herein; d. Notify the Disclosing Party promptly upon discovery of any unauthorized use or disclosure of Confidential Information.

3.5.3. Compelled Disclosure. If the Receiving Party is required by law, regulation, or order of a court or governmental authority to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible, provide the Disclosing Party with prompt written notice of such requirement prior to disclosure to enable the Disclosing Party to seek a protective order or other appropriate remedy. The Receiving Party shall cooperate with the Disclosing Party's efforts to obtain a protective order or other remedy. If disclosure is compelled, the Receiving Party shall disclose only that portion of the Confidential Information that is legally required.

3.5.4. Survival. The obligations of confidentiality and non-disclosure set forth in this Section shall survive the expiration or earlier termination of this Lease Agreement for a period of [Number] years.

3.6. REPRESENTATIONS & WARRANTIES

3.6.1. Mutual Representations and Warranties. Each party represents and warrants to the other that: a. It is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation or formation. b. The execution and delivery of this Lease Agreement and the performance of its obligations hereunder have been duly authorized by all necessary corporate or organizational action. d. This Lease Agreement constitutes a legal, valid, and binding obligation, enforceable against it in accordance with its terms, subject to applicable bankruptcy, insolvency, reorganization, moratorium, and other similar laws affecting creditors’ rights generally, and to general principles of equity. e. Landlord is the legal and beneficial owner of the Demised Premises and has full right and authority to enter into this Lease Agreement and to lease the Demised Premises to Tenant. b. As of the Effective Date, to Landlord's actual knowledge, there are no structural defects in the Demised Premises that would materially and adversely affect Tenant's use thereof for the Permitted Use, other than those previously disclosed in writing to Tenant. c. As of the Effective Date, Landlord has received no written notice of any outstanding violation of any environmental law, zoning ordinance, or other governmental regulation pertaining to the Demised Premises that would materially interfere with the Permitted Use.

3.6.3. Tenant's Representations and Warranties. Tenant represents and warrants to Landlord that: a. Tenant has the financial capacity to perform its obligations under this Lease Agreement, including the payment of all rent and other charges. b. Tenant's use of the Demised Premises as specified in the Permitted Use will comply with all applicable laws, ordinances, and regulations.

3.7. LIMITATION OF LIABILITY & INDEMNIFICATION

3.7.1. Limitation of Landlord's Liability. To the maximum extent permitted by law, Landlord shall not be liable to Tenant for any injury, damage, or loss of any kind to Tenant's business, property, or personnel (including without limitation, loss of profits or indirect, special, incidental, punitive, or consequential damages) arising from or relating to this Lease Agreement, the Demised Premises, or the Property, regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, except to the extent caused by the gross negligence or willful misconduct of Landlord. Landlord’s total aggregate liability under this Lease Agreement shall in no event exceed the total aggregate Base Rent actually paid by Tenant to Landlord during the immediately preceding [Number] months of the Term.

3.7.2. Limitation of Tenant's Liability. To the maximum extent permitted by law, Tenant shall not be liable to Landlord for any indirect, special, incidental, punitive, or consequential damages arising from or relating to this Lease Agreement, the Demised Premises, or the Property, regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, except for damages arising from Tenant's gross negligence, willful misconduct, or holdover tenancy.

3.7.3. Mutual Indemnification. a. Tenant's Indemnification: Tenant shall indemnify, defend, and hold harmless Landlord, its officers, directors, employees, and agents from and against any and all claims, demands, causes of action, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or in connection with: (i) any breach by Tenant of any representation, warranty, covenant, or obligation under this Lease Agreement; (ii) any act or omission, negligence, or willful misconduct of Tenant or its agents, employees, contractors, or invitees on or about the Demised Premises; (iii) any injury to persons or property occurring on the Demised Premises, except to the extent caused by the gross negligence or willful misconduct of Landlord; (iv) any lien or encumbrance filed against the Demised Premises as a result of Tenant's actions or inactions. b. 3.7.4. Insurance. Each party shall maintain appropriate insurance coverage, including general liability insurance, as required by this Lease Agreement, and shall provide evidence of such coverage upon request. The indemnification obligations set forth in this Section shall not be limited by the existence or amount of any insurance coverage.

3.8. DISPUTE RESOLUTION & ARBITRATION

3.8.1. Negotiation. The parties agree that any dispute, claim, or controversy arising out of or relating to this Lease Agreement or the breach, termination, enforcement, interpretation, or validity thereof (a "Dispute") shall first be submitted to good faith negotiation between the parties. Either party may initiate negotiations by providing written notice to the other party, setting forth the nature of the Dispute. The parties shall endeavor to resolve the Dispute through negotiation within thirty (30) days of the date of the notice.

3.8.2. Mediation. If the parties are unable to resolve the Dispute through negotiation within the specified thirty (30) day period, either party may, by written notice to the other, request that the Dispute be submitted to non-binding mediation. 3.8.4. Exceptions to Arbitration. Notwithstanding the foregoing, either party may seek injunctive relief or specific performance in a court of competent jurisdiction without first engaging in negotiation, mediation, or arbitration, to protect its intellectual property rights, to enforce confidentiality obligations, or to seek immediate possession of the Demised Premises (e.g., in the case of unlawful detainer actions).

3.9. GOVERNING LAW & JURISDICTION

3.9.1. Governing Law. This Lease Agreement and all matters arising out of or relating to this Lease Agreement, including, without limitation, its validity, interpretation, construction, performance, and enforcement, shall be governed by and construed in accordance with the internal laws of the [State of Governing Law, e.g., State of California], without regard to its conflict of laws principles.

3.10. MISCELLANEOUS

3.10.1. Severability. If any provision of this Lease Agreement is held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision hereof, and this Lease Agreement shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein, provided that the essential purposes of this Lease Agreement are not thereby frustrated.

3.10.2. Counterparts. This Lease Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Facsimile or electronic signatures (e.g., PDF, DocuSign, Adobe Sign) shall be deemed original for all purposes.

33.10.3. Entire Agreement. This Lease Agreement, including any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, representations, and understandings, whether written or oral. 3.10.4. Assignment. Tenant shall not assign, sublet, or otherwise transfer this Lease Agreement or any interest herein, nor mortgage or encumber the Demised Premises, without the prior written consent of Landlord, which consent may be withheld in Landlord's sole discretion. Any attempted assignment, subletting, or transfer without such consent shall be null and void and constitute a material breach of this Lease Agreement.

Financial inability or economic hardship shall not constitute an event of force majeure.

3.10.7. Broker's Commission. Each party represents and warrants to the other that it has not dealt with any real estate broker, agent, or finder in connection with this Lease Agreement, other than [Name of Broker, if any] who shall be paid by [Party responsible for commission]. 5. STEP-BY-STEP EXECUTION & FILING GUIDE

This guide provides actionable instructions for the proper completion, execution, and retention of the Board Resolution and the associated Lease Agreement.

  1. Review and Customize:

    • Open this document in Microsoft Word, Google Docs, or a compatible word processor.
    • Carefully review all bracketed fields [ ] throughout the document. Replace each placeholder with the specific, accurate information pertaining to your company, the property, the proposed tenant, dates, and financial terms.
    • Crucially: Ensure the "Governing Jurisdiction" (header) and "Governing Law" (Section 3.9.1) match the intended legal jurisdiction for the lease and corporate governance. Consult local counsel for specific legal requirements in the property's jurisdiction.
    • For "Legal Description of Property" (Section 3.1.1), if the full legal description is extensive, it is recommended to replace the bracketed field with "as described in Exhibit A attached hereto" and prepare a separate Exhibit A containing the full legal description.
    • Review all numeric values (e.g., days for cure, interest rates, term lengths, percentage shares) and adjust them to reflect the specific commercial agreement reached.
  2. Board Meeting & Adoption of Resolution:

    • The Board of Directors of [Company Full Legal Name] must formally meet (in person or virtually, as permitted by bylaws and applicable law) to consider and adopt this Resolution.
    • Ensure a proper quorum is present.
    • The "Date of Board Meeting" in the Corporate Secretary's attestation block (Section 4.A) must accurately reflect the date the resolution was adopted.
    • The Board should specifically approve the terms outlined in the Resolution and the integration of the "PART II: AUTHORIZED LEASE AGREEMENT PROVISIONS" as the framework for the subsequent Lease Agreement.
  3. Completion of Board Resolution Attestation:

    • After the Board meeting, the Corporate Secretary (or Assistant Secretary) must complete their name and title in the attestation block (Section 4.A).
    • The Corporate Secretary should sign the Board Resolution by hand or via an approved digital signature.
    • The date of signature should be entered.
  4. Verification of Signatory Authority (for Lease Agreement Execution):

    • For the Lease Agreement signature blocks (Section 4.B), confirm the "Authorized Signatory Name" and "Title / Role" for both Landlord and Tenant. These individuals must have the corporate authority (as granted by this resolution for the Landlord, and by their own internal corporate action for the Tenant) to legally bind their respective entities.
    • If using specific officers (e.g., President, CEO), ensure these roles are correctly specified.
  5. Execution of Lease Agreement (Post-Resolution):

    • Once the Board Resolution is formally adopted and attested, the Landlord's Authorized Officer(s) (as identified in the RESOLVED clauses) may proceed to negotiate and finalize the Lease Agreement with the Tenant, ensuring it aligns substantially with the provisions in PART II of this document.
    • The Landlord and Tenant will then execute the finalized Lease Agreement. The signature blocks in Section 4.B are provided for this separate, subsequent agreement.
    • Digital Signatures: For execution of the Lease Agreement, utilizing reputable digital signature platforms (e.g., DocuSign, Adobe Sign) is recommended to ensure legal enforceability and secure record-keeping. Ensure all parties receive fully executed copies.
  6. Record Retention & Filing:

    • Board Resolution:
      • The original signed Board Resolution must be kept in the Company's corporate minute book or official records alongside the minutes of the meeting at which it was adopted.
      • Maintain electronic copies in secure, designated corporate folders.
    • Lease Agreement:
      • The original fully executed Lease Agreement must be retained securely by the Landlord.
      • Provide a fully executed copy to the Tenant.
      • Consider filing or recording the Lease Agreement (or a memorandum thereof) with the appropriate local government registry (e.g., county recorder's office) if required or advisable under local law for public notice or protection of rights. Consult with legal counsel regarding recording requirements.
    • Compliance: Regularly review and update this document as corporate structure, property details, or legal requirements change.
