2.2. Prohibition of Self-Dealing and Conflicts of Interest. Directors and Officers shall not engage in any transaction or activity that constitutes a Conflict of Interest or a violation of their duty of loyalty. This includes, but is not limited to: a. 2.3. Disclosure of Potential Conflicts. a. Any Director or Officer who knows or reasonably suspects that they have a Disclosable Interest in any matter that is or may come before the Board or require Company action shall promptly disclose the nature and extent of such interest to the Chair of the Board (or the Lead Independent Director, if applicable) and the General Counsel of the Company. b. Such disclosure shall be made as soon as the Director or Officer becomes aware of the potential Conflict of Interest, and in any event prior to any discussion or vote on the matter by the Board or any Company action related thereto. c. The disclosure shall include sufficient detail to enable the Board to assess the materiality of the Disclosable Interest.
2.4. Review and Approval of Related Party Transactions. a. All Related Party Transactions shall be reviewed by the Board or a duly authorized committee of the Board (e.g., the Audit Committee or a special committee). b. The Director or Officer shall leave the room during any such discussion and voting. c. The minutes of the Board meeting shall reflect the disclosure and recusal.
2.6. Confidentiality. Directors and Officers shall maintain the confidentiality of all Confidential Information obtained in their capacity as such. Such information shall not be used for personal gain or disclosed to any third party, except as required by law or with the express written consent of the Company.
2.7. Corporate Opportunities. Directors and Officers shall not divert to themselves, their families, or their associates any business opportunity that is discovered through the use of corporate property or information or their position with the Company, if such opportunity is in the Company's line of business or could be of interest to the Company. Such opportunities shall be presented to the Board for consideration.
2.8. Gifts and Entertainment.
a. Directors and Officers shall not accept gifts, favors, or entertainment from any Person that are valued at more than [Dollar Amount] or that could, in the reasonable judgment of the Board, compromise their independence or create the appearance of a conflict of interest.
b. Modest gifts and entertainment of a customary business nature that are not lavish and do not create an appearance of impropriety are generally permissible.
c. Any questions regarding the propriety of accepting a gift or entertainment should be directed to the General Counsel.
2.9. Post-Employment Restrictions. Directors and Officers may be subject to confidentiality and non-solicitation provisions in their separate employment or service agreements with the Company, which shall continue to apply after their tenure with the Company ends.
2.10. Reporting Suspected Violations. Any Director or Officer who becomes aware of any suspected violation of this Policy by another Director or Officer shall promptly report such suspected violation to the Chair of the Board (or the Lead Independent Director, if applicable) and the General Counsel. All such reports shall be treated with the utmost confidentiality, and no retaliation shall be taken against any person who makes a good faith report.

3.3. Remedies. If an Event of Default is not cured within the Cure Period, or if the default is not curable, the Company may pursue any and all remedies available at law or in equity, including but not limited to: a. Termination of Service. The Board may, in its sole discretion and subject to applicable law and the Company's governing documents, terminate the service of the offending Director or Officer. b. Disgorgement of Profits. The offending Director or Officer shall be required to disgorge any profits or gains realized as a result of the violation of this Policy. c. Damages. The Company may seek damages to compensate for any losses incurred as a result of the violation. d. Injunctive Relief. The Company may seek injunctive relief to prevent further harm or violations. e. Legal Costs. The offending Director or Officer shall be liable for all legal costs and expenses incurred by the Company in enforcing this Policy.
3.4. No Waiver. The failure of the Company to enforce any provision of this Policy shall not be deemed a waiver of such provision or any other provision, nor shall it prevent the Company from enforcing such provision or any other provision in the future.
4. BOILERPLATE LEGAL PROVISIONS
4.1. Severability. If any provision of this Policy is held to be invalid, illegal, or unenforceable by any court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of this Policy, and this Policy shall be construed as if such provision had never been contained herein.
4.2. Entire Agreement. This Policy constitutes the entire agreement between the Company and each Director and Officer with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
4.3. Force Majeure. Neither party shall be liable for any failure or delay in performing its obligations under this Policy if such failure or delay is due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or other labor disputes (each a "Force Majeure Event"). The party affected by a Force Majeure Event shall give prompt written notice to the other party of such event and shall use commercially reasonable efforts to mitigate the impact of such event.
4.4. Governing Law. This Policy and the interpretation and enforcement thereof shall be governed by and construed in accordance with the laws of the State of [Governing State], without regard to its conflict of laws principles.
4.5. Dispute Resolution.
a. Arbitration. Any dispute, controversy, or claim arising out of or relating to this Policy, or the breach, termination, or validity thereof, shall be settled by arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The place of arbitration shall be [City, State of Arbitration]. The award rendered by the arbitrator(s) shall be final and binding upon the parties.
b. Court Proceedings. Notwithstanding the foregoing, either party may seek equitable relief, including but not limited to injunctive relief, from any court of competent jurisdiction without the requirement of posting a bond or other security.
