WHEREAS, Landlord desires to lease the Leased Premises to Tenant, and Tenant desires to lease the Leased Premises from Landlord, upon the terms and conditions set forth hereinafter;

NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: GRANT AND DESCRIPTION OF PREMISES

1.1 Premises. Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, for the Term and upon the terms and conditions hereinafter set forth, those certain premises located at [Street Address, Suite Number, City, State, Zip] (the "Leased Premises"). The Leased Premises comprise approximately [Number] rentable square feet, located within the building known as [Building Name, if applicable] (the "Building").

1.2 Common Areas. Tenant shall have the non-exclusive right, in common with other tenants, agents, employees, and invitees of Landlord, to use the common areas of the Building and property (the "Common Areas"), which include hallways, elevators, stairwells, parking facilities, and walkways, subject to such reasonable rules and regulations as Landlord may promulgate from time to time.

1.3 Acceptance of Premises. Tenant acknowledges that it has inspected the Leased Premises and accepts the same in its "AS-IS, WHERE-IS" condition, with all faults, as of the Effective Date, except as expressly provided otherwise in this Lease or a mutually executed Work Letter attached hereto as Exhibit [A/None].

SECTION 2: TERM

2.1 Initial Term. The initial term of this Lease shall commence on [Lease Commencement Date] (the "Commencement Date") and shall expire on [Lease Expiration Date] (the "Expiration Date"), unless terminated earlier in accordance with the provisions of this Lease.

2.2 Holding Over. If Tenant remains in possession of the Leased Premises after the expiration or termination of this Lease without the express written consent of Landlord, such tenancy shall be deemed a month-to-month tenancy at sufferance, subject to all terms and conditions of this Lease, except that the Base Rent payable during such holdover period shall be equal to [150% / 200%] of the Base Rent in effect immediately prior to such expiration or termination.

SECTION 3: RENT AND OTHER CHARGES

3.1 Base Rent. Tenant covenants and agrees to pay to Landlord, without demand, deduction, or offset, base rent ("Base Rent") in the initial annual amount of [Amount in USD] ($[Numeric Amount]), payable in equal monthly installments of [Monthly Amount in USD] ($[Numeric Amount]). Base Rent shall be due and payable in advance on the first (1st) day of each calendar month during the Term.

3.2 Additional Rent. All other sums of money or charges required to be paid by Tenant under this Lease, including utilities, operating cost escalations, and taxes, shall be deemed additional rent ("Additional Rent"). Base Rent and Additional Rent are collectively referred to as "Rent." Rent shall be paid via electronic funds transfer (ACH/Wire) to Landlord's designated bank account or delivered to Landlord’s address set forth herein.

3.3 Late Charges and Interest. If Tenant fails to pay any installment of Rent within [Number, e.g., 5] days after the date due, Tenant shall pay to Landlord a late charge equal to [Percentage, e.g., 5] percent of the overdue amount to compensate Landlord for administrative costs. In addition, delinquent amounts shall accrue interest at the lesser of eighteen percent (18%) per annum or the maximum rate permitted by applicable law, calculated from the date due until paid in full.

3.4 Security Deposit. Concurrently with the execution of this Lease, Tenant shall deposit with Landlord the sum of [Security Deposit Amount in USD] ($[Numeric Amount]) as a security deposit (the "Security Deposit") for the faithful performance of all terms, covenants, and conditions of this Lease. Landlord may apply all or part of the Security Deposit to cure any default by Tenant. If Landlord applies any portion of the Security Deposit, Tenant shall restore the Security Deposit to its original amount within ten (10) days after written demand.

SECTION 4: USE OF LEASED PREMISES

4.1 Permitted Use. The Leased Premises shall be used and occupied exclusively for [Permitted Commercial Use, e.g., general executive office purposes and light administrative work] and for no other purpose without the prior written consent of Landlord.

4.2 Compliance with Laws. Tenant shall, at its sole cost and expense, promptly comply with all applicable statutes, ordinances, rules, regulations, orders, and requirements of federal, state, county, and municipal authorities now in force or which may hereafter be in force, relating to the Leased Premises and Tenant's specific use thereof.

4.3 Nuisance and Waste. Tenant shall not commit, or suffer to be committed, any waste upon the Leased Premises, or any public or private nuisance, or other act that may disturb the quiet enjoyment of other tenants in the Building.

SECTION 5: MAINTENANCE, REPAIRS, AND UTILITIES

5.1 Landlord's Obligations. Landlord shall maintain, repair, and keep in good condition the structural elements of the Building, including the foundation, exterior walls, roof, and structural columns, as well as the mechanical, electrical, plumbing, and HVAC systems serving the Building in general, except to the extent such maintenance is required due to the negligence or willful misconduct of Tenant.

5.2 Tenant's Obligations. Tenant shall, at its sole cost and expense, maintain and keep the interior of the Leased Premises, including non-structural interior walls, floors, ceilings, doors, and interior windows, in good, clean, and safe condition and repair.

5.3 Utilities. Tenant shall contract directly for and pay all charges for water, gas, electricity, telephone, internet, and other utility services supplied to the Leased Premises during the Term.

SECTION 6: TAXES

6.1 Real Estate Taxes. Landlord shall pay all real estate taxes and assessments levied against the Building and the underlying land. However, Tenant shall pay as Additional Rent its proportionate share of any increase in real estate taxes over the taxes assessed for the base year of [Base Year, e.g., 202X].

SECTION 7: ALTERATIONS AND IMPROVEMENTS

7.1 Alterations. Tenant shall not make any alterations, additions, or improvements to the Leased Premises without the prior written consent of Landlord, which consent shall not be unreasonably withheld, conditioned, or delayed for non-structural interior alterations. All alterations made by Tenant shall become the property of Landlord upon the expiration or termination of this Lease, unless Landlord requires their removal pursuant to Section 7.2.

7.2 Mechanic's Liens. Tenant shall keep the Leased Premises and the Building free from any liens arising out of any work performed, materials furnished, or obligations incurred by Tenant. Tenant shall discharge any such lien within fifteen (15) days of receiving notice thereof.

SECTION 8: INSURANCE AND INDEMNIFICATION

8.1 Tenant's Insurance. Tenant shall, at its sole cost and expense, maintain during the entire Term:

  • Commercial General Liability Insurance with minimum limits of [Dollar Amount, e.g., $2,000,000] combined single limit per occurrence for bodily injury and property damage.
  • Property insurance covering all trade fixtures, equipment, and personal property located within the Leased Premises for full replacement cost.
  • Statutory Workers' Compensation insurance as required by applicable state law.

8.2 Mutual Waiver of Subrogation. Landlord and Tenant each release the other from any and all liability for any loss or damage to property caused by fire or any of the extended coverage casualties, to the extent such insurance proceeds are collected, provided that this waiver shall not apply to losses caused by the intentional misconduct or gross negligence of a party.

8.3 Indemnification. Tenant shall indemnify, defend, and hold harmless Landlord, its officers, directors, agents, and employees from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or resulting from Tenant's use of the Leased Premises, any breach of this Lease by Tenant, or any negligent or wrongful act or omission of Tenant, its agents, employees, or invitees.

SECTION 9: DAMAGE OR DESTRUCTION

9.1 Partial Damage. If the Leased Premises are partially damaged by fire or other casualty, Landlord shall repair the same with reasonable diligence, provided such repairs can be completed within [Number, e.g., 180] days under applicable laws. Base Rent shall be equitably abated in proportion to the portion of the Leased Premises rendered unusable by Tenant.

9.2 Total Destruction. If the Leased Premises are completely destroyed or rendered wholly untenantable by fire or other casualty, or if the Building is damaged to such an extent that Landlord elects not to rebuild, either party may terminate this Lease by giving written notice to the other within thirty (30) days following such casualty.

SECTION 10: EMINENT DOMAIN

10.1 Condemnation. If the whole of the Leased Premises, or such substantial part thereof as to make the remainder unusable for Tenant's business, is taken or condemned for any public or quasi-public use under any statute or by right of eminent domain, this Lease shall terminate as of the date title vests in the condemning authority. All condemnation awards shall belong to Landlord, provided that Tenant may claim a separate award for moving expenses and loss of trade fixtures.

SECTION 11: ASSIGNMENT AND SUBLETTING

11.1 Prohibition. Tenant shall not voluntarily or by operation of law assign, transfer, mortgage, pledge, or otherwise encumber this Lease or sublet all or any part of the Leased Premises without the prior written consent of Landlord, which consent shall not be unreasonably withheld, conditioned, or delayed. Any attempted assignment or subletting without such consent shall be void ab initio and shall constitute a material default under this Lease.

SECTION 12: DEFAULT AND REMEDIES

12.1 Events of Default. The occurrence of any of the following shall constitute a material event of default by Tenant under this Lease:

  • Failure of Tenant to pay any installment of Rent when due, where such failure continues for a period of five (5) days after written notice from Landlord.
  • Failure of Tenant to perform or observe any other covenant, condition, or agreement contained in this Lease, where such failure continues for a period of thirty (30) days after written notice from Landlord.
  • The filing of a petition in bankruptcy by or against Tenant, or the appointment of a receiver for all or substantially all of Tenant's assets.

12.2 Landlord's Remedies. Upon the occurrence of an Event of Default, Landlord shall have the right, at its election, to pursue any one or more of the following remedies without notice or demand:

  • Terminate this Lease and recover possession of the Leased Premises.
  • Terminate Tenant's right to possession without terminating this Lease and re-let the Leased Premises on behalf of Tenant.
  • Recover all damages incurred by Landlord as a result of Tenant's default, including past-due Rent, accelerated future Rent (discounted to present value), and reasonable attorneys' fees.

SECTION 13: DISPUTE RESOLUTION

13.1 Negotiation and Mediation. In the event of any dispute, claim, or controversy arising out of or relating to this Lease, the parties shall first attempt to resolve the matter through good-faith negotiations between senior executives. If the dispute is not resolved within thirty (30) days, the parties agree to submit the dispute to non-binding mediation administered by a mutually agreed-upon mediation service provider in the governing jurisdiction.

13.2 Arbitration. If mediation does not resolve the dispute within sixty (60) days of commencement, the dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

SECTION 14: GOVERNING LAW AND JURISDICTION

14.1 Governing Law. This Lease, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Lease, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles.

14.2 Jurisdiction and Venue. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County] County, [State], for the purposes of any suit, action, or other proceeding arising out of this Lease.

SECTION 15: MISCELLANEOUS PROVISIONS

15.1 Entire Agreement. This Lease, together with any exhibits or addenda attached hereto, constitutes the entire agreement between Landlord and Tenant with respect to the subject matter hereof and supersedes all prior oral or written agreements, understandings, representations, and warranties.

15.2 Amendments and Waivers. No amendment, modification, or waiver of any provision of this Lease shall be valid unless in writing and signed by an authorized representative of both parties. No waiver by either party of any default shall be construed as a waiver of any subsequent default.

15.3 Severability. If any provision of this Lease is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

15.4 Counterparts and Electronic Signatures. This Lease may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of this Lease by electronic mail (PDF) or digital signature platform (such as DocuSign or Adobe Sign) shall be equally as effective as delivery of an original executed counterpart.
