1. STATUTORY & LEGAL COMPLIANCE NOTICE

This document constitutes a formal Bill of Lading and contract of carriage. It is designed to be compliant with the Uniform Commercial Code (UCC) Article 7 and the Carriage of Goods by Sea Act (COGSA) where applicable. However, transportation law is highly jurisdictional. Users must ensure that local, state, and international maritime or transit laws (e.g., CMR, Hague-Visby Rules) are cross-referenced. This document does not constitute individualized legal advice. Consult with internal counsel prior to execution.

2. PARTIES & RECITALS

This Agreement is entered into by and between:

CARRIER: [Company Full Legal Name], having its principal office at [Principal Address] (“Carrier”).

CONSIGNOR/SHIPPER: [Client Full Legal Name], having its principal office at [Principal Address] (“Shipper”).

WHEREAS, the Shipper desires to engage the Carrier to transport the Goods described in the attached Schedule A, and the Carrier agrees to transport such Goods under the terms and conditions set forth herein.

3. OPERATIVE CLAUSES

1. SCOPE OF SERVICES. Carrier agrees to receive, transport, and deliver the goods specified in the attached Schedule A (the “Goods”) from the point of origin to the destination designated by the Shipper, exercising reasonable care and complying with all applicable federal, state, and local transportation regulations.

2. COMPENSATION & PAYMENT TERMS. Shipper shall pay the Carrier the amount of $[Amount in USD] (the “Freight Charges”). Payment shall be due net thirty (30) days from the date of invoice. Any late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

3. TERM & TERMINATION. This Agreement shall commence on the Effective Date and remain in force until the delivery of the Goods is confirmed. Either party may terminate this Agreement upon written notice for a material breach that remains uncured for a period of ten (10) days following receipt of written notice of such breach.

4. INTELLECTUAL PROPERTY & DATA. All documentation, manifests, and logistics data created by the Carrier in the performance of services shall be considered “Work Made for Hire” and shall remain the exclusive property of the Shipper upon full payment of services.

5. MUTUAL CONFIDENTIALITY. Each party shall protect the proprietary information of the other party with the same degree of care it uses to protect its own confidential information, and shall not disclose such information to third parties without prior written consent, except as required by law.

6. REPRESENTATIONS & WARRANTIES. Each party represents that it has the full right, power, and authority to enter into this Agreement and that the execution of this Agreement does not conflict with any other contractual obligations. Shipper warrants that the Goods are accurately described and properly packaged for transit.

7. LIMITATION OF LIABILITY & INDEMNIFICATION. Carrier’s liability for loss or damage to Goods shall be limited to the declared value of the goods, not to exceed $[Amount in USD] per shipment, unless otherwise agreed in writing. Each party agrees to indemnify and hold harmless the other from any third-party claims arising from the indemnifying party’s gross negligence or willful misconduct.

8. DISPUTE RESOLUTION & ARBITRATION. Any dispute arising under or relating to this Agreement shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The seat of arbitration shall be [City, State].

9. GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of [Governing Jurisdiction], without regard to its conflict of law principles.
