2. PARTIES & RECITALS

This Bill of Lading (the "Agreement") is entered into by and between: CARRIER: [Carrier Full Legal Name], having its principal place of business at [Carrier Principal Address] ("Carrier"). SHIPPER: [Shipper Full Legal Name], having its principal place of business at [Shipper Principal Address] ("Shipper"). CONSIGNEE: [Consignee Full Legal Name], having its principal place of business at [Consignee Principal Address] ("Consignee").

RECITALS: WHEREAS, Shipper desires to transport the goods described in the attached Schedule A (the "Goods"); and WHEREAS, Carrier agrees to provide transport services for said Goods subject to the terms and conditions set forth herein.

3. OPERATIVE CLAUSES

3.1. SCOPE OF SERVICES Carrier agrees to transport the Goods from the Point of Origin ([Origin Address]) to the Destination ([Destination Address]) with reasonable dispatch. Carrier shall maintain possession and custody of the Goods as a bailee from the time of receipt until the time of delivery to the Consignee.

3.2. COMPENSATION & PAYMENT TERMS Shipper shall pay the Carrier the amount of [Amount in USD] (the "Freight Charges") upon delivery or pursuant to the credit terms agreed upon in the separate Master Service Agreement (MSA). Invoices not paid within thirty (30) days of receipt shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by law.

3.3. TERM & TERMINATION This Agreement shall commence on the Effective Date and terminate upon the successful delivery of the Goods to the Consignee and final settlement of all Freight Charges. Either party may terminate for material breach provided the non-breaching party gives fifteen (15) days’ written notice and the breach remains uncured.

3.4. INTELLECTUAL PROPERTY & DATA Any documentation, manifests, or logistics data created by the Carrier in the performance of this Agreement shall remain the property of the Carrier, subject to a perpetual, royalty-free license granted to the Shipper for the purpose of tracking and record-keeping related to the shipment.

3.5. CONFIDENTIALITY Each party shall maintain as confidential all proprietary information disclosed during the term hereof. This obligation survives termination for a period of three (3) years. Disclosure is permitted only as required by law or to authorized representatives bound by similar confidentiality obligations.

3.6. REPRESENTATIONS & WARRANTIES Shipper warrants that the Goods are accurately described, properly packaged, and marked for transit. Carrier warrants that it possesses all necessary licenses, permits, and insurance (including General Liability and Cargo Insurance) to perform the transport services.

3.7. LIMITATION OF LIABILITY & INDEMNIFICATION Carrier’s liability for loss or damage to the Goods shall be limited to [USD Amount per lb/kg or per package, e.g., $0.50/lb], unless a higher value is declared in writing by the Shipper prior to transit. Shipper shall indemnify and hold Carrier harmless against all claims arising from Shipper’s misrepresentation of the nature of the Goods or improper packaging.

3.8. DISPUTE RESOLUTION & ARBITRATION Any disputes arising out of this Agreement shall be submitted to binding arbitration in [City, State] under the rules of the American Arbitration Association (AAA). The prevailing party shall be entitled to recover reasonable attorney's fees and costs.

3.9. MISCELLANEOUS This Agreement constitutes the entire understanding between the parties. If any provision is held to be unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be executed in counterparts.

FOR [SHIPPER FULL LEGAL NAME]: Signature: _____________________________________ Printed Name: [Authorized Signatory Name] Title: [Title / Role] Date: [Date]

  1. Drafting: Use the "Find and Replace" feature in your word processor to swap all [...] bracketed fields with the specific information relevant to the current shipment.
  2. Verification: Verify the signatory authority of the representatives named in the signature blocks. For corporate entities, ensure the individual has valid signing authority pursuant to the company’s Bylaws or Board Resolution.
  3. Digital Signature: Utilize an enterprise-grade digital signature platform (e.g., DocuSign, Adobe Sign, or HelloSign). These platforms provide an "Audit Trail" (Certificate of Completion) which is essential for proving the intent and authenticity of the signature in litigation.
  4. Distribution: Provide one fully executed electronic copy to each party (Carrier, Shipper, and Consignee).
  5. Record Retention: Retain the executed original in a secure, digital document management system for the duration of the statute of limitations applicable in your jurisdiction (typically 3–6 years for contractual claims) to ensure audit readiness.
