DOCUMENT ID: BOL-OPS-2024-V1.0
EFFECTIVE DATE: [Effective Date]
VERSION: 1.0.0
GOVERNING JURISDICTION: State of [State / Country] / Federal Maritime Law
1. STATUTORY & LEGAL COMPLIANCE NOTICE
CLINICAL DISCLAIMER: This institutional Bill of Lading (BOL) and Contract of Carriage has been engineered to meet stringent commercial, admiralty, and international trade law standards. However, shipping operations are subject to highly complex, volatile statutory frameworks, including but not limited to the Carriage of Goods by Sea Act (COGSA, 46 U.S.C. § 30701 et seq.), the Hague-Visby Rules, the Hamburg Rules, or domestic land/air transport regulations. Counsel, logistics operators, and commercial parties must verify that the specific choice of law, liability limitations, and operational modalities selected herein align precisely with the mode of transport (maritime, intermodal, rail, or motor carriage) and the jurisdictional requirements of the ports of loading and discharge. Execution of this document binds the parties to strict legal liabilities; independent legal review is strongly advised prior to operational deployment.

WHEREAS, this Bill of Lading shall serve simultaneously as an acknowledgment of receipt of the goods by the Carrier for carriage and as a binding contract of carriage between the parties hereto and any lawful holder hereof;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and freight charges set forth herein, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & CARRIAGE OBLIGATIONS
1.1 Receipt of Goods. The Carrier, or its authorized agent, acknowledges receipt from the Shipper of the packages, containers, or cargo units described in the Shipment Particulars section of this document, in apparent good order and condition unless otherwise explicitly noted herein. The description of the cargo, weights, measures, quantities, conditions, marks, and values furnished by the Shipper are the Shipper’s sole responsibility, and the Carrier makes no representation as to the veracity thereof.
1.2 Scope of Carriage. The Carrier agrees to transport the cargo from the Port/Place of Loading ([Port/Place of Loading]) to the Port/Place of Discharge ([Port/Place of Discharge]) via any route, vessel, conveyance, or mode of transport, whether direct or indirect, and whether or not such route constitutes the normal, customary, or advertised route.
1.3 Subcontracting and Liberties. The Carrier reserves the absolute right to employ sub-carriers, independent contractors, stevedores, terminal operators, and warehousemen (collectively, "Sub-Contractors") for the performance of all or any part of the transport, storage, and handling services. All defenses, exemptions, limitations of liability, and immunities granted to the Carrier under this Bill of Lading shall extend directly to and protect all such Sub-Contractors, agents, and servants.
SECTION 2: COMPENSATION, FREIGHT, & PAYMENT TERMS
2.1 Freight Charges and Tariff Application. Freight and charges shall be deemed fully earned upon receipt of the goods by the Carrier, whether the freight is stated as prepaid or collect, and regardless of whether the ship, cargo, or conveyance is lost or not lost. Freight shall be calculated based on the particulars furnished by the Shipper. The Carrier reserves the right to re-weigh, re-measure, and re-value the cargo at destination, and assess additional freight charges accordingly. Total agreed freight and compensation for the engagement is [Amount in USD] USD, payable strictly in accordance with the terms herein.
2.2 Invoicing and Payment Schedule. Invoices issued by the Carrier shall be due and payable net [Number] ([#]) calendar days from the date of issuance ("Due Date"). Payments shall be made in United States Dollars via wire transfer to the designated bank account of the Carrier without deduction, set-off, or counterclaim of any kind.
2.3 Late Payment Interest and Default. Any sums not paid when due under this Bill of Lading shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum legal rate permitted by applicable law, calculated daily and compounded monthly from the Due Date until the date of actual payment in full. The Shipper and Consignee shall be jointly and severally liable for all freight, demurrage, detention, general average contributions, and associated costs.
2.4 Lien Rights. The Carrier shall have a continuous, general, and specific lien on the cargo and any documents relating thereto for all freight, dead freight, demurrage, detention, storage charges, legal fees, general average contributions, and any other sums due to the Carrier from the Shipper, Consignee, or owner of the cargo, past or present. The Carrier may enforce this lien by public or private sale of the cargo without notice, applying the proceeds to the outstanding balance and expenses.
SECTION 3: TERM, TRANSIT, & TERMINATION
3.1 Operational Term. This contract of carriage commences upon the physical taking into custody of the cargo by the Carrier at the Port/Place of Loading and terminates upon legal delivery of the cargo to the Consignee or authorized representative at the Port/Place of Discharge, or upon abandonment/disposition of the cargo in accordance with applicable law and the terms of this Agreement.
3.2 Unforeseen Impediments and Force Majeure. If at any time the performance of the contract of carriage is hindered, delayed, or made unsafe or impossible by acts of God, war, hostilities, civil commotion, strikes, lockouts, labor troubles, governmental restraints, embargoes, weather conditions, port congestion, or any other cause whatsoever beyond the reasonable control of the Carrier (each a "Force Majeure Event"), the Carrier may, at its sole discretion, elect to:
- (a) Suspend transit and store the cargo ashore or afloat at the risk and expense of the cargo;
- (b) Discharge the cargo at any safe port or place; or
- (c) Terminate the voyage and place the cargo at the disposal of the Shipper or Consignee, whereupon the Carrier's responsibility shall cease. All additional expenses incurred under this clause shall be borne entirely by the Shipper and Consignee.
SECTION 4: INTELLECTUAL PROPERTY & DATA RIGHTS
4.1 Data and Documentation Ownership. All electronic data interchanges, shipping manifests, tracking algorithms, operational processes, and proprietary documentation generated by the Carrier in connection with the execution of this carriage remain the exclusive intellectual property of the Carrier.
4.2 License to Use Data. The Shipper grants the Carrier a worldwide, non-exclusive, royalty-free license to utilize, process, and transmit data, marks, and documentation provided by the Shipper solely for the purpose of executing transportation, customs clearance, and regulatory compliance obligations.
SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE
5.1 Confidential Information. "Confidential Information" shall include all proprietary commercial, financial, operational, and technical data disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") in connection with this shipment, including pricing terms, routing strategies, cargo contents, and security protocols.
5.2 Obligations of Non-Disclosure. The Receiving Party agrees to protect the Disclosing Party’s Confidential Information with the same degree of care it uses for its own confidential data (but not less than reasonable care), and shall not disclose such information to any third party except to employees, agents, and Sub-Contractors requiring access for the performance of carriage obligations, or as mandated by law or court order.
SECTION 6: REPRESENTATIONS & WARRANTIES
6.1 Shipper’s Representations. The Shipper warrants and represents that:
- (a) The cargo is properly and safely packed, marked, labeled, and documented in compliance with all local, national, and international laws, including the International Maritime Dangerous Goods (IMDG) Code where applicable;
- (b) The cargo does not contain any unauthorized contraband, undeclared hazardous materials, weapons, or illicit substances; and
- (c) The Shipper is the lawful owner of the cargo or possesses full legal authority from the owner to bind them to all terms and conditions of this Bill of Lading.
6.2 Carrier’s Representations. The Carrier warrants that it possesses the requisite operating licenses, permits, and functional capacity to execute the transportation services contemplated herein in a workmanlike and professional manner.
SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Statutory Limitation of Liability. To the maximum extent permitted by applicable law (including COGSA where applicable), the Carrier’s liability for any loss, damage, misdelivery, delay, or non-delivery of the cargo shall be strictly limited to USD $500 per package, or per customary freight unit (CFU), unless the nature and higher value of the cargo have been declared by the Shipper in writing prior to shipment, inserted into this Bill of Lading, and ad valorem freight has been paid.
7.2 Exclusion of Consequential Damages. Under no circumstances shall the Carrier be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profit, loss of market, loss of business opportunity, or overhead costs, regardless of whether the Carrier was advised of the possibility of such damages.
7.3 Indemnification. The Shipper, Consignee, and cargo owner shall jointly and severally indemnify, defend, and hold harmless the Carrier, its affiliates, directors, officers, employees, agents, and Sub-Contractors from and against any and all claims, liabilities, losses, damages, fines, penalties, taxes, and expenses (including reasonable attorney's fees) arising out of or resulting from:
- (a) Any breach of the Shipper’s representations and warranties under Section 6;
- (b) The undeclared hazardous, noxious, or explosive nature of the cargo; or
- (c) Any negligent or wrongful act or omission of the Shipper, Consignee, or their respective agents.
SECTION 8: DISPUTE RESOLUTION & ARBITRATION
8.1 Negotiation and Escalation. In the event of any dispute, controversy, or claim arising out of or relating to this Bill of Lading, the authorized representatives of the parties shall first attempt in good faith to resolve the matter through direct business negotiation for a period of thirty (30) days.
8.2 Binding Arbitration. If the dispute remains unresolved following the negotiation period, it shall be settled by binding arbitration administered by the [Arbitration Association, e.g., American Arbitration Association (AAA) / Society of Maritime Arbitrators (SMA)] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State/Country]. The proceedings shall be conducted in the English language before a single independent arbitrator (or a panel of three arbitrators if the claim exceeds $500,000 USD). The award rendered by the arbitrator(s) shall be final, binding, and enforceable in any court of competent jurisdiction.
SECTION 9: GOVERNING LAW & JURISDICTION
9.1 Choice of Law. This Bill of Lading and all claims or disputes arising out of or relating to it—whether sounding in contract, tort, maritime law, or statute—shall be governed by, construed, and enforced in accordance with the laws of [State / Country], without regard to its conflict of laws principles, and, where applicable, United States federal maritime law.
SECTION 10: MISCELLANEOUS PROVISIONS
10.1 Severability. If any provision of this Bill of Lading is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
10.2 Entire Agreement. This Bill of Lading constitutes the entire contract between the Carrier and Shipper regarding the subject matter herein, superseding all prior oral or written negotiations, commitments, tenders, and understandings. No modification, amendment, or waiver of any provision shall be valid unless executed in writing by an authorized officer of the Carrier.
10.3 Assignment. The Shipper may not assign its rights or delegate its obligations under this Bill of Lading without the prior written consent of the Carrier. Any purported assignment in violation hereof shall be null and void.

Ensure all freight terms, weights, and container numbers match the commercial packing lists and booking notes. - Signatory Verification: Verify that the individuals executing the signature blocks possess verified corporate authority (via corporate resolution, power of attorney, or incumbency certificate) to bind their respective legal entities to commercial transport contracts and financial liabilities.
- Digital Execution & Cryptographic Sealing: Route the completed document through an enterprise-grade digital signature platform compliant with ESIGN and eIDAS standards (such as DocuSign or Adobe Sign).
