4.1 Company Pre-Existing IP. The Company retains all right, title, and interest in and to all pre-existing intellectual property, proprietary tools, frameworks, software, methodologies, algorithms, documentation, and trade secrets owned or developed by the Company prior to the Effective Date or independently of this Agreement (collectively, "Company Pre-Existing IP"). The Client retains all right, title, and interest in and to all data, information, materials, and intellectual property supplied by the Client to the Company under this Agreement ("Client Data"). The Client grants the Company a limited, non-exclusive, worldwide, royalty-free license to access, process, store, and utilize the Client Data solely as necessary to perform the Services and fulfill its obligations under this Agreement. 4.3 Work Product & Deliverables. Subject to full payment of all applicable fees due under the relevant SOW, and excluding any embedded Company Pre-Existing IP, all custom deliverables, reports, software code, designs, and documentation specifically created by the Company for the Client pursuant to this Agreement (collectively, the "Work Product") shall be deemed "work made for hire" under the copyright laws of the United States.   • (b) Was already in the rightful possession of the Receiving Party prior to disclosure without an obligation of confidentiality;
  • (c) Is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or
  • (d) Is rightfully received from a third party without a breach of any obligation of confidentiality. 5.3 Obligations of Confidentiality. The Receiving Party may disclose Confidential Information to the extent required by applicable law, regulation, or valid court order, provided that the Receiving Party gives prompt written notice to the Disclosing Party (where legally permissible) to enable the Disclosing Party to seek a protective order. 5.4 Injunctive Relief. The Parties acknowledge that any breach of this Section 5 may cause irreparable harm and significant injury for which monetary damages alone would be inadequate. Accordingly, in the event of any actual or threatened breach of this Section 5, the Disclosing Party shall be entitled to seek temporary, preliminary, and permanent injunctive relief in any court of competent jurisdiction, without the necessity of posting bond, in addition to any other remedies available at law or in equity.

The Company warrants that the Services shall be performed with professional diligence and skill and in material conformity with the specifications set forth in the applicable SOW. 6.3 Disclaimer of Implied Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, NEITHER PARTY MAKES ANY WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SUBJECT MATTER OF THIS AGREEMENT. • (b) Aggregate Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID OR PAYABLE BY THE CLIENT TO THE COMPANY UNDER THE APPLICABLE SOW IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY. 7.2 Client Indemnification. The Client agrees to defend, indemnify, and hold harmless the Company, its affiliates, directors, officers, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and legal expenses) arising out of or resulting from:
  • (a) Any material breach of this Agreement by the Client;
  • (b) The negligence or willful misconduct of the Client or its personnel; or
  • (c) The utilization, storage, or processing of Client Data provided that such utilization complies with the terms of this Agreement. 7.3 Company Indemnification.   • (a) Any material breach of this Agreement by the Company;
  • (b) The gross negligence or willful misconduct of the Company or its personnel; or
  • (c) Any allegation that the deliverables or Work Product (excluding Client Data and Company Pre-Existing IP) infringe, misappropriate, or violate any third-party copyright, trademark, patent, or trade secret.

SECTION 8: DISPUTE RESOLUTION & ARBITRATION

8.1 Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity (a "Dispute"), the designated senior executives of each Party shall attempt in good faith to resolve such Dispute through direct business negotiations within fifteen (15) business days after written notice of the Dispute is given by one Party to the other. 8.2 Binding Arbitration. If the Dispute is not resolved through direct negotiations pursuant to Section 8.1, the Dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator agreed upon by the Parties or, failing agreement within thirty (30) days, appointed by the AAA. The place of arbitration shall be [City, State]. The language of the arbitration shall be English. The award rendered by the arbitrator shall be final, binding upon the Parties, and enforceable in any court of competent jurisdiction. 8.3 Interim Relief. Nothing in this Section 8 shall prevent either Party from seeking temporary restraining orders, preliminary injunctions, or other provisional equitable relief from a court of competent jurisdiction to protect its intellectual property rights or Confidential Information pending the constitution of the arbitral tribunal.

SECTION 9: GOVERNING LAW & JURISDICTION

9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Jurisdiction], without regard to its conflict of laws principles. 9.2 Jurisdiction and Venue. Subject to Section 8 (Dispute Resolution & Arbitration), each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction and venue of the state and federal courts located within [County, State / Jurisdiction] for any legal action, suit, or proceeding arising out of or relating to this Agreement.

SECTION 10: MISCELLANEOUS

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be deemed severed from this Agreement, and the remaining provisions shall remain in full force and effect. 10.2 Counterparts. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Counterparts may be delivered via facsimile, electronic mail (including PDF or DocuSign), or other electronic transmission, and shall have the same legal force and effect as original wet-ink signatures. 10.3 Entire Agreement. This Agreement, together with any SOWs executed hereunder, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, understandings, representations, and agreements, whether written or oral, between the Parties. 10.4 Waiver. No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver of that or any other right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. 10.5 Assignment. Neither Party may assign, delegate, or transfer this Agreement or any of its rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of the other Party, which consent shall not be unreasonably withheld, conditioned, or delayed. Any attempted assignment in violation of this Section 10.5 shall be null and void ab initio. Subject to the foregoing, this Agreement shall bind and benefit the Parties and their respective permitted successors and assigns. 10.6 Force Majeure. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay arises from causes beyond its reasonable control, including acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, civil unrest, labor strikes, global pandemics, governmental embargoes, or disruption of telecommunication or electrical grids (a "Force Majeure Event").
