NOW, THEREFORE, in consideration of the mutual covenants, promises, and freight charges set forth herein, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1: Scope of Services & Transport Engagement

Section 2: Compensation, Payment Terms & Freight Charges

2.1 Freight Charges: The Shipper shall pay the Carrier the freight charges and ancillary fees set forth in Rate Schedule [Schedule ID / Attachment A], totaling [Amount in USD or CAD], without any right of set-off, deduction, or counterclaim. 2.2 Invoicing and Payment: The Carrier shall issue an invoice upon delivery of the Goods to the Consignee. Invoices are due and payable in full within thirty (30) calendar days from the date of invoice issuance (Net 30). 2.3 Late Interest: Any undisputed amounts not paid when due shall accrue interest at the lesser of eighteen percent (18%) per annum or the maximum rate permitted by applicable Canadian provincial law, calculated daily and compounded monthly from the due date until the date of actual payment. 2.4 Carrier’s Lien: The Carrier shall have a general and continuous lien on all Goods in its possession, custody, or control for all freight charges, storage fees, demurrage, duties, advances, or other charges due past or present from the Shipper, and may enforce such lien in accordance with applicable provincial personal property security legislation.

Section 3: Term, Operational Window & Termination

3.1 Operational Term: This Contract commences on the Effective Date and shall terminate automatically upon the complete delivery of the Goods to the Consignee and the full settlement of all associated freight charges and liabilities. 3.2 Termination for Convenience: The Shipper may terminate the transport engagement prior to the loading of the Goods upon written notice to the Carrier, subject to payment of reasonable positioning and administrative fees incurred by the Carrier up to the date of cancellation. 3.3 Termination for Breach: Either Party may terminate this Contract immediately upon written notice if the other Party commits a material breach of any provision herein and fails to cure such breach within five (5) business days following receipt of written notice detailing the breach.
