3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Scope of Services & Engagement

1.1 Engagement. Client hereby engages Service Provider to provide the professional services, logistics coordination, and operational deliverables specified herein and in any mutually executed Statement of Work ("SOW") or transaction-specific Bill of Lading (collectively, the "Services"). Each SOW shall reference this Agreement and shall be subject to the terms and conditions contained herein. In the event of any direct conflict between the terms of this Agreement and any SOW or Bill of Lading, the terms of this Agreement shall control unless the SOW or Bill of Lading expressly states an intention to supersede a specific provision of this Agreement.

1.2 Performance Standards. Service Provider shall perform all Services in a professional, workmanlike manner, in accordance with industry standards and prevailing commercial practices. Service Provider warrants that its personnel possess the requisite skill, training, and background to complete the Services effectively and efficiently.

1.3 Bill of Lading Integration & Acknowledgments. To the extent the Services involve the physical transport, custody, handling, or delivery of goods, the issuance, execution, or electronic generation of a Bill of Lading (or equivalent transport document) shall serve as an acknowledgment of receipt of goods by Service Provider or its designated agents. The issuance or signature of a Bill of Lading acknowledges solely the receipt of the external condition, apparent order, and stated quantity of goods as explicitly described on the face of the transport document, subject to any noted exceptions. Under no circumstances shall a Bill of Lading acknowledgment be construed to modify, waive, or expand the liability limitations, risk allocations, or indemnification provisions set forth in this Agreement.

Section 2. Compensation & Payment Terms

2.1 Compensation. In consideration for the full, prompt, and satisfactory performance of the Services, Client shall pay Service Provider the fees set forth in the applicable SOW or fee schedule, up to the maximum aggregate amount of [Amount in USD] USD, unless modified by a written amendment signed by both parties.

2.2 Invoicing & Payment Schedule. Service Provider shall issue invoices to Client on a [monthly / milestone / project completion] basis. All undisputed invoices shall be due and payable by Client within [Number, e.g., 30] calendar days from the date of receipt of the applicable invoice (the "Due Date"). Payment shall be made in United States Dollars via wire transfer, electronic clearing house (ACH), or check to the bank account designated in writing by Service Provider.

2.3 Late Interest & Penalties. Any undisputed amounts not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the Due Date until the date of actual payment in full. Furthermore, Service Provider reserves the right to suspend the performance of any ongoing Services or withhold the release of shipments or deliverables in transit or in its possession until all overdue, undisputed balances are paid in full.

2.4 Taxes. All fees and compensation figures stated herein are exclusive of all applicable federal, state, local, and foreign sales, use, value-added, excise, and similar taxes. Client shall be solely responsible for the payment of all such taxes, duties, and governmental charges, excluding taxes based solely upon Service Provider's net income.

Section 3. Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of [Number, e.g., 2] years (the "Initial Term"), unless earlier terminated in accordance with the provisions of this Section 3. Following the expiration of the Initial Term, this Agreement shall automatically renew for successive renewal terms of [Number, e.g., 1] year(s) (each a "Renewal Term"), unless either party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term.

3.4 Effect of Termination. Upon the effective date of termination or expiration of this Agreement: (a) Client shall immediately pay Service Provider all accrued, unpaid fees and reimbursable expenses incurred up to the date of termination for Services rendered and deliverables completed; (b) Each party shall promptly return or destroy (and certify such destruction in writing) all Confidential Information belonging to the other party; and (c) Sections 4, 5, 6, 7, 8, and 9 shall survive any termination or expiration of this Agreement.

Section 4. Intellectual Property Ownership & Work Made for Hire

4.1 Pre-Existing Intellectual Property. Each party retains all right, title, and interest in and to its respective pre-existing intellectual property, proprietary tools, methodologies, software, trade secrets, and know-how developed independently of this Agreement ("Pre-Existing IP"). Nothing herein shall transfer ownership of any Pre-Existing IP to the opposing party.

4.2 Work Made for Hire & Deliverables. Except as provided in Section 4.1, all custom deliverables, reports, data compilations, documentation, and work product specifically created or developed by Service Provider for Client pursuant to this Agreement (collectively, the "Work Product") shall be deemed "work made for hire" under the copyright laws of the United States. To the extent that any Work Product does not qualify as a work made for hire, Service Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such Work Product, including all intellectual property rights therein, upon Client's payment in full for the applicable Services.

5.3 Exclusions. Confidential Information shall not include information that: (a) Is or becomes publicly known through no breach of this Agreement by the Receiving Party; (b) Was already in the rightful possession of the Receiving Party prior to disclosure without an obligation of confidentiality; (c) Is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) Is rightfully received by the Receiving Party from a third party without restriction on disclosure.

5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy.

8.2 Binding Arbitration. If the Dispute is not resolved through informal negotiations within thirty (30) calendar days, the Dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
