NOW, THEREFORE, in consideration of the mutual covenants, promises, and freight charges set forth herein, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
4. EXHAUSTIVE OPERATIVE CLAUSES & TERMS OF CARRIAGE
Section 1. Scope of Services & Engagement
1.1 Acceptance of Goods: The Carrier acknowledges receipt of the packages, containers, or cargo described in the Schedule of Goods herein, in apparent good order and condition unless otherwise explicitly noted on the face of this Bill of Lading. The goods are received for transportation from the Place of Receipt to the Place of Delivery, via any intermediate modes, routes, vessels, or conveyances at the Carrier's sole discretion.
1.2 Subcontracting: The Carrier reserves the absolute right to employ sub-carriers, independent contractors, stevedores, warehouse operators, and agents (collectively, "Subcontractors") to perform all or any part of the transportation, storage, and handling services. All defenses, exemptions, limitations of liability, and immunities granted to the Carrier under this Bill of Lading shall extend to and protect all such Subcontractors and their respective employees and agents.
1.3 Shipper Warranties: The Shipper warrants that it is the owner of the goods, or the authorized agent of the owner, with full power and authority to enter into this contract of carriage. The Shipper further warrants that the goods are properly and safely packed, marked, labeled, and documented in compliance with all applicable hazardous materials regulations, customs laws, and trade compliance mandates.
Section 2. Compensation, Freight & Payment Terms
2.1 Freight Charges: Freight and ancillary charges shall be deemed fully earned upon receipt of the goods by the Carrier, whether the goods are lost or not lost, and whether damaged or undamaged. All charges shall be paid by the Shipper, Consignee, or designated third-party payor in the amount of [Amount in USD] in accordance with the agreed-upon rate sheet or invoice terms.
2.2 Invoicing & Due Date: Invoices issued by the Carrier are due and payable within [Number] calendar days of the invoice date ("Due Date"). Time is of the essence with respect to all payment obligations.
2.3 Late Interest: Any undisputed amounts remaining unpaid after the Due Date shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the Due Date until the date of actual payment in full.
2.4 Carrier’s Lien: The Carrier shall have a continuous, general, and particular lien on all goods, cargo, documents relating to goods, and any proceeds thereof, for all freight charges, demurrage, detention, storage fees, duties, general average contributions, and any prior or outstanding debts owed by the Shipper or Consignee. The Carrier may enforce this lien through public or private sale without prior notice if sums remain unpaid for more than [Number] days past the Due Date.
Section 3. Term, Transit & Delivery
3.1 Commencement & Termination of Transit: Carriage shall commence when the goods are loaded upon or taken into the custody of the Carrier at the Place of Receipt, and shall terminate when the goods are delivered to the Consignee or its authorized agent at the designated Place of Delivery.
3.2 Transit Times: Schedules, sailing dates, and transit times provided by the Carrier are estimates only and do not constitute a binding commitment unless expressly guaranteed in a separate, signed service level agreement. The Carrier shall not be liable for any direct, indirect, or consequential damages resulting from delays in transit.
3.3 Unclaimed Goods: If the Consignee refuses or fails to take delivery of the goods upon arrival at the Place of Delivery, or if the goods are unclaimed within [Number] days of notice, the Carrier reserves the right to store the goods at the risk and expense of the Shipper, or to dispose of or auction the goods to satisfy outstanding freight and storage charges.
Section 4. Intellectual Property & Documentation
4.1 Data Ownership: All shipping data, tracking metrics, electronic data interchange (EDI) records, and operational logs generated by the Carrier in connection with the transport services shall remain the exclusive property of the Carrier, subject to the Shipper's right to access its proprietary cargo data.
4.2 Customs Documentation: The Shipper is solely responsible for furnishing all necessary commercial invoices, export/import licenses, certificates of origin, and customs declarations required by regulatory authorities. The Shipper shall indemnify and hold harmless the Carrier from any fines, penalties, delays, or confiscations arising from inaccurate or incomplete documentation.
Section 5. Mutual Confidentiality & Data Protection
5.1 Confidential Information: The parties acknowledge that during the performance of this contract, they may exchange proprietary business information, trade secrets, financial details, and operational methodologies ("Confidential Information").
5.2 Non-Disclosure Obligations: Each party agrees to hold the other party's Confidential Information in strict confidence, utilizing at least the same degree of care it uses to protect its own proprietary information (but no less than a reasonable standard of care), and shall not disclose such information to any third party except to employees, agents, and Subcontractors who have a direct need to know and are bound by equivalent confidentiality obligations.
Section 6. Representations, Warranties & Hazardous Materials
6.1 Prohibited & Hazardous Cargo: The Shipper shall not tender any hazardous, toxic, explosive, flammable, or regulated dangerous goods without providing prior written notice to the Carrier, accompanied by full material safety data sheets (MSDS) and official regulatory certifications.
6.2 Breach of Hazardous Warranty: If the Shipper tenders hazardous goods without explicit written authorization, or misdeclares the nature of the cargo, the Carrier may, at its sole discretion, unload, destroy, abandon, or neutralize the goods without incurring any liability to the Shipper, and the Shipper shall remain fully liable for all resulting damages, clean-up costs, fines, and legal liabilities.
Section 7. Limitation of Liability & Indemnification
7.1 Limitation of Carrier Liability: To the maximum extent permitted by applicable law, the Carrier’s liability for any loss, damage, misdelivery, or delay of the goods shall be strictly limited to [Amount in USD] per package or unit, or [Amount in USD] per kilogram of gross weight lost or damaged, whichever is lower, unless the Shipper has declared a higher value on the face of this Bill of Lading and paid an ad valorem surcharge.
7.2 Exclusion of Consequential Damages: Under no circumstances shall the Carrier be liable for any special, incidental, indirect, punitive, or consequential damages, including loss of profits, loss of market, business interruption, or overhead expenses, regardless of whether the Carrier had foreknowledge of the possibility of such damages.
7.3 Shipper Indemnification: The Shipper agrees to defend, indemnify, and hold harmless the Carrier, its affiliates, directors, officers, employees, and Subcontractors from and against any and all claims, liabilities, losses, damages, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) the Shipper's breach of any warranty or obligation herein; (b) the inherent vice, defect, or fragility of the goods; or (c) any violation of environmental, customs, or safety laws by the Shipper or its agents.
Section 8. Dispute Resolution & Arbitration

8.2 Binding Arbitration: If the dispute remains unresolved, it shall be settled by binding arbitration administered by the [Arbitration Association, e.g., American Arbitration Association / ICDR] in accordance with its commercial arbitration rules. 9.2 Jurisdiction: Subject to Section 8, each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County, State/Country] for any legal action or proceeding arising out of this contract.
Section 10. Miscellaneous Provisions
10.1 Severability: If any provision of this Bill of Lading is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
10.2 Entire Agreement: This Bill of Lading, together with any attached rate schedules, manifests, or applicable tariffs, constitutes the entire agreement between the Carrier and Shipper regarding the subject matter hereof, superseding all prior oral or written negotiations, commitments, and understandings.
