WHEREAS, the Parties intend for this Agreement, together with individual Bills of Lading issued hereunder, to comprehensively govern the legal, commercial, and operational terms of their relationship;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and undertakings set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
Section 1. Scope of Services & Engagement
1.1 Provision of Services. The Carrier agrees to transport, handle, deliver, and, where applicable, store the cargo described in the applicable Bill of Lading, shipping manifest, or electronic transport order issued pursuant to this Agreement (collectively, the "Cargo") from the designated origin point to the specified destination point, in accordance with the service levels and transit schedules mutually agreed upon by the Parties.
1.2 Non-Exclusive Relationship. The engagement of the Carrier by the Shipper is on a non-exclusive basis. The Shipper is free to engage third-party logistics providers, and the Carrier is free to provide services to third parties, provided that such engagements do not breach the confidentiality or operational commitments established under this Agreement.
1.3 Regulatory Compliance. The Carrier shall maintain all necessary federal, state, and local licenses, permits, operating authorities, and insurance coverages required to execute the transportation and logistics services contemplated herein. The Carrier shall operate all equipment in strict compliance with applicable Department of Transportation (DOT), Federal Motor Carrier Safety Administration (FMCSA), and environmental regulations.
Section 2. Compensation & Payment Terms
2.1 Rates and Charges. The Shipper shall compensate the Carrier for the logistics services rendered in accordance with the rate schedule set forth in Exhibit A or as explicitly detailed in the individual Bill of Lading. Rates are inclusive of standard fuel surcharges unless otherwise stated in writing.
2.2 Invoicing. The Carrier shall issue formal invoices to the Shipper upon the completion of delivery or upon reaching mutually agreed billing milestones. Invoices shall be transmitted electronically to the billing address designated by the Shipper.
2.3 Payment Due Date. All undisputed invoices shall be due and payable in full in United States Dollars (USD) within thirty (30) calendar days from the date of receipt of the invoice by the Shipper (the "Net 30" term). Payments shall be remitted via wire transfer, Automated Clearing House (ACH), or other mutually agreed electronic payment method.
2.4 Late Interest and Penalties. Any undisputed invoice amount not paid when due shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower, calculated from the date such payment was due until the date of actual payment in full.
2.5 Disputed Invoices. If the Shipper disputes any portion of an invoice in good faith, the Shipper shall notify the Carrier in writing within ten (10) business days of receipt of the invoice, detailing the specific grounds for the dispute. The Shipper shall pay the undisputed portion of the invoice in accordance with Section 2.3. The Parties shall negotiate in good faith to resolve any disputed amount within fifteen (15) business days of such notice.
Section 3. Term & Termination
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of one (1) year, unless earlier terminated in accordance with the provisions of this Section 3. Upon the expiration of the initial term, this Agreement shall automatically renew for successive one-year terms unless either Party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term.
3.2 Termination for Convenience. Either Party may terminate this Agreement, in whole or in part, for any reason or no reason, by providing at least ninety (90) days prior written notice to the other Party.
3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if: (a) The other Party commits a material breach of any provision of this Agreement and fails to cure such material breach within thirty (30) calendar days after receipt of written notice detailing the breach; (b) The other Party files a petition for bankruptcy, is adjudicated bankrupt, makes an assignment for the benefit of creditors, invokes or has invoked against it any receivership or insolvency proceeding, or ceases to conduct business in the normal course.
3.4 Post-Termination Obligations. Upon the termination or expiration of this Agreement: (a) The Shipper shall promptly pay the Carrier for all services rendered and expenses incurred up to the effective date of termination; (b) Each Party shall return or destroy, at the disclosing Party's direction, all Confidential Information belonging to the other Party; (c) Outstanding shipments in transit at the time of termination shall continue to be governed by the terms of this Agreement and the applicable Bill of Lading until final delivery is completed.
Section 4. Intellectual Property Ownership & Work Made for Hire
4.1 Pre-Existing Intellectual Property. Each Party shall retain all right, title, and interest in and to its respective pre-existing trademarks, trade secrets, proprietary software, logistics methodologies, documentation, and intellectual property developed prior to or independently of this Agreement.
4.2 Work Product. Any custom software, reports, data analytics, or documentation specifically developed by the Carrier for the Shipper under this Agreement (collectively, the "Work Product") shall be deemed a "work made for hire" under the copyright laws of the United States. To the extent that any such Work Product does not qualify as a work made for hire, the Carrier hereby irrevocably assigns, transfers, and conveys to the Shipper all right, title, and interest worldwide in and to such Work Product, including all intellectual property rights therein.

5.2 Obligations of Confidentiality. The Receiving Party shall: (a) Protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but in no event less than a reasonable standard of care; (b) Limit disclosure of Confidential Information to its directors, officers, employees, and agents who have a strict need to know such information for the performance of this Agreement and who are bound by confidentiality obligations at least as restrictive as those contained herein; (c) Not use the Confidential Information for any purpose outside the scope of this Agreement.
5.3 Exclusions. Confidential Information shall not include information that: (a) Is or becomes generally known to the public through no breach of this Agreement by the Receiving Party; (b) Was already known to the Receiving Party prior to disclosure without an obligation of confidentiality; (c) Is independently developed by the Receiving Party without reference to or use of the Disclosing Party's Confidential Information; (d) Is required to be disclosed by law, regulation, or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party to enable it to seek a protective order.

Section 7. Limitation of Liability & Indemnification
7.1 Limitation of Liability. (a) Except for liability arising from gross negligence, willful misconduct, breach of confidentiality, or indemnification obligations, neither Party shall be liable to the other for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of revenue, or business interruption, arising out of or in connection with this Agreement, regardless of the theory of liability. (b) The Carrier’s maximum aggregate liability for loss of or damage to Cargo shall be limited to the actual value of the Cargo or the declared value stated on the applicable Bill of Lading, subject to standard industry released value provisions, unless the Shipper has declared a higher value and paid applicable supplementary freight charges.
7.2 Carrier Indemnification. The Carrier shall defend, indemnify, and hold harmless the Shipper, its affiliates, directors, officers, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) The gross negligence or willful misconduct of the Carrier, its employees, or subcontractors in the performance of services; (b) Bodily injury, death, or damage to tangible property caused by the operational acts or omissions of the Carrier.
7.3 Shipper Indemnification. 8.2 Binding Arbitration. If the Dispute is not resolved through negotiation, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State, e.g., New York, NY]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with the rules. The award rendered by the arbitrator shall be final and binding upon both Parties, and judgment upon the award may be entered in any court having jurisdiction thereof.
8.3 Injunctive Relief. Nothing in this Section 8 shall prevent either Party from seeking temporary, preliminary, or permanent injunctive relief or other equitable remedies from a court of competent jurisdiction to protect its intellectual property rights or Confidential Information.
Section 9. Governing Law & Jurisdiction
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of laws principles, and, where applicable, federal transportation laws of the United States (including the Carmack Amendment).

Section 10. Miscellaneous

10.2 Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Execution and delivery of this Agreement by exchange of signed PDF copies via email or through recognized digital signature platforms (e.g., Adobe Sign, DocuSign) shall be fully binding and legally effective.
10.3 Entire Agreement. This Agreement, together with any exhibits, schedules, and individual Bills of Lading issued hereunder, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous discussions, negotiations, proposals, understandings, and agreements, whether written or oral.
10.4 Amendments and Waivers. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument signed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof.
10.5 Force Majeure. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riots, national or regional emergencies, epidemics, pandemics, government restrictions, strikes, or other labor disputes beyond the reasonable control of the affected Party, provided that the affected Party uses diligent efforts to resume performance as soon as practicable.
