WHEREAS, the Employee is currently employed by the Company pursuant to the terms of an employment relationship, whether governed by prior written agreement or at-will status;

WHEREAS, the Employee has elected to tender their formal notice of resignation from employment, or alternatively, the Company has elected to provide formal notice of separation pursuant to applicable contractual terms;

WHEREAS, the Parties intend by this Agreement to establish a binding, orderly, and comprehensive thirty (30) day transition period to ensure operational continuity, protection of proprietary assets, and the definitive settlement of terminal obligations;

NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and legal sufficiency of which are hereby acknowledged, the Parties agree as follows:

2. Operational Definitions

For the purposes of this Agreement, the following terms shall have the meanings ascribed below:

  1. "Transition Period" means the exact duration of thirty (30) calendar days commencing on the Effective Date and terminating at 11:59 PM local time on [End Date].
  2. "Company Property" means all tangible and intangible assets, equipment, keys, access cards, mobile devices, computers, documents, data, software, and proprietary information owned, leased, or licensed by the Company.
  3. "Confidential Information" means all non-public information, trade secrets, proprietary data, client lists, financial records, pricing strategies, operational methodologies, and intellectual property belonging to the Company, regardless of format or medium.
  4. "Termination Date" means the final day of the Transition Period upon which the employment relationship is fully and finally severed.
  5. "Final Compensation" means all earned and unpaid base salary, accrued statutory benefits, and approved expense reimbursements due to the Employee up to and including the Termination Date, calculated in accordance with the laws of [Jurisdiction].
  6. "Restrictive Covenants" means those surviving obligations regarding non-competition, non-solicitation, and confidentiality set forth herein or incorporated by reference from prior agreements.

3. Substantive Terms & Obligations

3.1 Notice of Separation and Transition Period

The Parties hereby acknowledge and confirm that formal notice of separation has been given, establishing the mandatory Transition Period. The employment relationship shall officially terminate on the Termination Date, absent a written amendment executed by both Parties.

3.2 Duties and Performance Metrics During Transition

During the Transition Period, the Employee shall:

  1. Continue to faithfully, diligently, and professionally perform all duties associated with their position, or such alternative duties as reasonably assigned by the Company.
  2. Complete all pending projects, document ongoing operational workflows, and prepare a comprehensive handover memorandum for incoming personnel or designated supervisors.
  3. Cooperate fully with the Company to transfer institutional knowledge and operational responsibilities without disruption to business continuity.

3.3 Compensation and Benefits

The Company shall continue to pay the Employee their standard base salary and provide applicable employee benefits throughout the Transition Period, subject to standard payroll deductions and withholdings. The Employee shall not be eligible for any new equity vesting, annual bonuses, or performance incentives accruing after the Effective Date, unless expressly provided under an existing executive compensation plan.

3.4 Return of Company Property

On or before the final hour of the Termination Date, the Employee shall return all Company Property in their possession, custody, or control. The Employee warrants that they have permanently deleted and expunged any digital copies of Confidential Information from personal devices, cloud storage accounts, or external media.

3.5 Representations and Warranties

The Employee represents and warrants that:

  1. They possess the legal capacity and unrestricted right to enter into and fully perform their obligations under this Agreement.
  2. Performance of this Agreement does not and will not breach any other agreement, covenant, or legal obligation to which the Employee is a party.
  3. All Company Property and Confidential Information shall be handled in strict compliance with Company security protocols throughout the Transition Period.

4. Default, Termination, and Remedies

4.1 Events of Default

The occurrence of any of the following shall constitute a material breach and Default under this Agreement:

  1. Failure by the Employee to report for work or perform assigned duties during the Transition Period without documented medical justification or prior written authorization from the Company.
  2. Breach of any Restrictive Covenant, confidentiality obligation, or duty regarding Company Property.
  3. Conduct by the Employee amounting to gross negligence, willful misconduct, insubordination, or reputational harm to the Company.

4.2 Notice and Cure Period

In the event of an alleged Default, the non-defaulting Party shall provide written notice detailing the specific infraction. The defaulting Party shall have a period of thirty (30) business days from receipt of such notice to cure the default, provided, however, that the Company reserves the right to immediately suspend the Employee with or without pay if the default involves a breach of data security, theft of Company Property, or breach of confidentiality.

4.3 Legal Recourse and Remedies

Upon the occurrence of an uncured Default, the non-defaulting Party may pursue any and all remedies available at law or in equity, including but not limited to:

  1. Immediate termination of the Transition Period and forfeiture of any unvested compensation or severance entitlements.
  2. Injunctive relief without the requirement of posting a bond, to prevent or restrain unauthorized disclosure of Confidential Information or breach of Restrictive Covenants.
  3. Recovery of actual damages, statutory penalties, and reasonable attorney's fees incurred in enforcing the terms of this Agreement.

The remaining provisions of this Agreement shall remain in full force and effect.

5.2 Entire Agreement

This Agreement constitutes the entire understanding and agreement between the Parties concerning the subject matter hereof, superseding all prior negotiations, discussions, drafts, and contemporaneous agreements, whether oral or written.

5.3 Force Majeure

Neither Party shall be liable for any failure or delay in performance under this Agreement if such failure or delay is caused by acts of God, natural disasters, war, terrorism, civil unrest, pandemic, governmental restrictions, or other causes beyond the reasonable control of the affected Party.

5.4 Governing Law

This Agreement, and all claims or causes of action arising out of or relating to it, shall be governed by, construed, and enforced in accordance with the substantive laws of the State/Jurisdiction of [Jurisdiction], without regard to its conflict of laws principles.

5.5 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity, shall be resolved through final and binding arbitration administered by [Arbitration Body, e.g., AAA / JAMS] in accordance with its commercial arbitration rules.
