  7. "Tenant" means [Tenant Name(s)], including all authorized occupants, subtenants, and agents claiming through Tenant.

3. SUBSTANTIVE TERMS & OBLIGATIONS

Section 3.1. Notice of Termination

Tenant hereby provides formal, unequivocal written notice to Landlord of Tenant's intent to terminate the tenancy of the Premises effective as of 11:59 PM on [Termination Date]. Tenant shall completely vacate and surrender actual possession of the Premises to Landlord no later than said date and time.

Section 3.2. Surrender of Possession and Keys

On or before the Effective Date of Termination, Tenant shall deliver all physical keys, electronic access fobs, garage openers, parking permits, and security passes associated with the Premises to Landlord or Landlord’s designated agent. Surrender of possession shall be deemed incomplete until all access devices are formally handed over and the Premises is vacant of all personal property and occupants.

Section 3.3. Condition of Premises and Pre-Vacating Inspection

Tenant shall return the Premises to Landlord in the same clean, undamaged condition as received upon the commencement of the tenancy, ordinary wear and tear excepted. Pursuant to California Civil Code Section 1950.5(f), Tenant requests a joint pre-movement inspection of the Premises to be conducted between fourteen (14) and two (2) days prior to the Effective Date of Termination. Landlord shall provide reasonable written notice specifying the date and time of such inspection.

Section 3.4. Forwarding Address for Security Deposit Accounting

Landlord shall inspect the Premises and provide an itemized statement of deductions and the remaining balance of the Security Deposit, if any, within twenty-one (21) calendar days following the surrender of the Premises, strictly in accordance with California Civil Code Section 1950.5. Tenant designates the following forwarding address for all future notices, correspondence, and financial remittances:

  • Forwarding Address: [Street Address, City, State, Zip Code]
  • Electronic Mail: [Email Address]
  • Telephone: [Phone Number]

Section 3.5. Continuing Financial Obligations

Tenant acknowledges and agrees that the service of this Notice does not relieve Tenant of the obligation to pay rent and other charges accruing up to and including the Effective Date of Termination, calculated on a prorated basis of [Daily Rent Amount] per diem, if applicable, pursuant to the Master Lease.

4. DEFAULT, TERMINATION, AND REMEDIES

Section 4.1. Breach Classifications

Any failure by Tenant to vacate the Premises by the Effective Date of Termination, or any failure by Landlord to perform statutory accounting and refund obligations under California Civil Code Section 1950.5, shall constitute a material breach of this Agreement and the Master Lease.

Section 4.2. Notice and Cure Periods

In the event of an alleged default arising from this Agreement, the non-defaulting party shall provide written notice detailing the specific nature of the default. The defaulting party shall have a cure period of thirty (30) Business Days from the receipt of such notice to rectify the default, except that no cure period shall extend the mandatory vacate date unless explicitly agreed to in a separate writing executed by both Parties.

Section 4.3. Legal Recourse and Holdover Penalties

If Tenant fails to surrender possession of the Premises on or before the Effective Date of Termination, Tenant shall be deemed a holdover tenant subject to immediate unlawful detainer proceedings under California Code of Civil Procedure Section 1161 et seq., and shall be liable to Landlord for holdover damages calculated at the rate of [Daily Holdover Rent Amount] per day, alongside statutory penalties, consequential damages, and reasonable attorney's fees.

5. BOILERPLATE LEGAL PROVISIONS

Section 5.1. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions of this Agreement shall remain in full force and effect and shall not be affected thereby.

Section 5.2. Entire Agreement

This Agreement, together with the Master Lease (to the extent not inconsistent herewith), constitutes the entire understanding between the Parties concerning the termination of the tenancy. No oral representations, inducements, promises, or agreements, not embodied herein, shall be of any force or effect. This Agreement may only be amended by a written instrument executed by authorized representatives of both Parties.

Section 5.3. Force Majeure

Neither Party shall be held liable for any failure or delay in the performance of its obligations under this Agreement if such failure arises from acts of God, war, terrorism, civil unrest, natural disasters, governmental embargoes, pandemics, or other catastrophic events beyond the reasonable control of the affected Party, provided that economic hardship or inability to pay shall not constitute a Force Majeure event.

Section 5.4. Governing Law and Venue

This Agreement shall be interpreted, construed, and enforced in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any legal action, proceeding, or arbitration arising out of this Agreement shall be brought exclusively in the state or federal courts located within [County Name] County, California, and the Parties hereby consent to the personal jurisdiction of said courts.

Section 5.5. Dispute Resolution

Any controversy, claim, or dispute arising out of or relating to this Agreement, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved through binding arbitration administered by [Arbitration Body, e.g., JAMS / American Arbitration Association] in accordance with its commercial arbitration rules.
